# Receipt of FDD Form
Drafts an execution-ready FDD Receipt establishing an evidentiary record of 14-day delivery compliance for regulatory audits, state examinations, or litigation.
## Prerequisites
Collect before drafting:
1. **Franchisor** — legal entity name and principal address as on FDD cover page
2. **Franchisee** — full legal name (individual or entity), address, contact info; if entity: formation state and authorized signer
3. **FDD details** — issuance date, version/amendment designations, state registration numbers if applicable
4. **Exhibit inventory** — all exhibits, attachments, addenda, and ancillary agreements delivered with the FDD
5. **Jurisdiction** — whether registration states apply (CA, NY, IL, MD, MN, VA, WA, WI, etc.) requiring additional acknowledgment language
## Document Sections
| Section | Contents |
|---------|----------|
| Header | Title; franchisor legal name; principal address; document date (spell out month) |
| Franchisee ID | Legal name; entity type/formation state; address; phone; email; authorized signer if entity |
| Acknowledgment | First-person attestation per checklist below |
| FDD Specification | Issuance date; version; state registration numbers; complete exhibit list |
| Signatures | Dual blocks (franchisee + franchisor rep) with E-SIGN/UETA language |
## Acknowledgment Checklist
Franchisee attestation must confirm:
- Received complete FDD including all exhibits, FPRs (if any), and state addenda on **[spelled-out date]**
- Understands 14-calendar-day waiting period before signing or paying (except permitted escrow under § 436)
- Afforded opportunity to consult legal counsel, accountants, and advisors
- No oral or written representations contradict or supplement the FDD
- **If Item 19 FPR exists:** Received and reviewed FPRs; understands their limitations
- **If no Item 19 FPR:** Understands franchisor made no earnings claims; will not rely on unauthorized claims
## Signature Blocks
```
FRANCHISEE:
Signature: ________________________
Printed Name: _____________________
Title (if entity): ________________
Date: _____________________________
FRANCHISOR: [Legal Entity Name]
Signature: ________________________
Printed Name: _____________________
Title: _____________________________
Date: _____________________________
```
Include counterpart execution clause and E-SIGN Act / UETA electronic signature authorization if applicable.
## Pitfalls and Checks
- **Date format** — always spell out the month ("January 15, 2025"); never numeric-only
- **Entity signers** — distinguish "individually" vs. "as [Title] of [Entity Name]"
- **Registration states** — add state-specific addenda acknowledgment for CA, NY, IL, MD, MN, VA, WA, WI; check uploaded documents for applicable states
- **Exhibit completeness** — cross-reference FDD table of contents to verify exhibit list is exhaustive
- **Minimal placeholders** — insert transaction data from uploaded documents; bracket only genuinely unknown fields
- **State timing mandates** — 16 C.F.R. § 436 governs federal requirements; always check for additional state-level timing or content rules
