To enable the Board to concentrate on policy and planning, we need to discuss five areas:
1. The division of work between the Board and the Executive Committee, including the responsibilities of each and their relationship.
2. Board composition and optimum size.
3. Effective participation by outside directors.
4. Principles for selecting directors and setting their tenure.
5. The route from the present Board and Executive Committee arrangement to the desired one.
