Since October's reorganization, divisional managers have held authority for day-to-day operations, leaving the Board to focus on policy and planning. Nevertheless, the Board has spent years dealing with operational issues. To operate as intended, we must address four governance questions:
1. Board composition and optimum size
2. The roles, responsibilities, and working relationship between the Board and Executive Committee
3. How to make outside directors effective participants
4. Principles for selecting directors and setting their tenure
Once these are settled, we must identify alternative ways to transition from our current arrangement to this desired structure.
