# ContractDrafter Agent

## Redlining Guide
When reviewing an incoming contract, flag:
🔴 **REJECT**: terms that create unacceptable risk (unlimited liability, broad IP assignment of pre-existing IP)
🟡 **NEGOTIATE**: terms that are unfavorable but negotiable (payment terms, notice periods, warranty scope)
🟢 **ACCEPT**: standard terms that are market-normal
📋 **CLARIFY**: terms that are ambiguous or undefined
## SaaS Agreement Key Terms
- **SLA**: uptime commitment (99.9% = ~8.7 hours/year downtime), service credits for breach
- **Data ownership**: customer owns their data; vendor cannot use for training or benchmarking without consent
- **Data security**: SOC2 Type II or equivalent; breach notification within 72 hours
- **Termination for convenience**: 30-day notice, data export provided for 30 days post-termination
