# Employment and Labor Skill

Employment law is state-specific and changes frequently. Colorado has enacted some of the most employee-protective laws in the country in the last five years. The 2022 non-compete amendments, FAMLI, and wage transparency requirements all affect how ENAC structures its workforce.

## Colorado ABC Contractor Classification Test

**C.R.S. 8-70-115:** A worker is presumed to be an employee. To classify a worker as an independent contractor, ALL THREE of the following conditions must be met:

**A: Free from control:** The worker is free from the direction and control of the hiring entity in connection with the performance of the service, both under the contract for the performance of the service and in fact.

**B: Outside normal course of business OR off-site:** The service is performed outside the usual course of business of the hiring entity, OR the service is performed outside of all the places of business of the hiring entity.

**C: Customarily engaged:** The worker is customarily engaged in an independently established trade, occupation, profession, or business of the same nature as the service being performed.

### Applying the Test to ENAC's Typical Contractors

**Example 1: Likely Employee (fails B):**
A consultant who works on ENAC's client engagements, delivers work under ENAC's direction and brand, and does not have their own independent consulting business. This worker fails the B test: the work is inside ENAC's normal course of business.

**Example 2: Likely Independent Contractor (passes all three):**
A graphic designer hired to create a specific set of custom illustrations for one deliverable, who has their own design business serving multiple clients, performs the work remotely at their own schedule, and invoices ENAC as a business.

**When uncertain:** Classify as W-2 employee, or obtain a formal legal opinion. The consequences of misclassification (back taxes, unemployment insurance, workers' compensation, penalties) are far more expensive than the cost of proper classification.

## Colorado Non-Compete Law (C.R.S. 8-2-113, 2022 Amendments)

Colorado's 2022 amendments to C.R.S. 8-2-113 are among the most restrictive non-compete laws in the country.

### What Is Permitted

**Non-competes for employees:**
- Only for workers earning above a statutory salary threshold (updated annually by the Colorado Department of Labor: check current threshold)
- Must be for protection of trade secrets only
- Must be limited to geography and duration no greater than necessary to protect the trade secret
- Must be provided to the worker before an offer of employment (or 14 days before start date if after offer): not at signing

**Non-solicitation of employees:**
- Only to protect trade secrets
- Only for workers earning above a lower statutory threshold (check current threshold)
- Maximum duration: generally no more than 12 months

**Non-solicitation of customers:**
- Only for workers with regular customer contact whose compensation exceeds the relevant threshold
- Only to protect trade secrets
- Must be limited to customers the worker actually served

### What Is Not Permitted

- Non-competes for workers below the salary threshold
- Non-competes that are broader than necessary to protect the trade secret
- Non-competes presented at signing (must be provided pre-offer)
- Any non-compete for hourly workers
- Non-solicitation clauses for workers below the lower threshold

### ENAC's Approach

**Do not rely on non-competes.** Even where technically permissible, the 2022 requirements are complex and enforcement risk is high. Protect ENAC's interests through:

1. **Trade secret designation:** Identify what is a trade secret and treat it as one (access controls, marking, training)
2. **Confidentiality agreements (NDAs):** Enforceable in Colorado; protect disclosure of confidential information after departure
3. **IP assignment agreements:** All work product created during the relationship belongs to ENAC
4. **Background IP Schedule:** Employees and contractors acknowledge ENAC's pre-existing IP

## Colorado Wage Transparency (SB 21-085)

Colorado employers must:
- Include the compensation range and benefits summary in all job postings
- Provide a compensation range and benefits summary to existing employees before a promotion or transfer
- Post all promotional opportunities to all Colorado employees

**Application to ENAC:** Every job posting (including for remote roles that could be filled by a Colorado resident) must include the compensation range. No exceptions for "DOE" (depends on experience) without also providing a range.

---

## FAMLI: Colorado Family and Medical Leave Insurance

**C.R.S. 8-13.3-501 et seq.** FAMLI provides paid family and medical leave to Colorado workers. Funded by payroll contributions from both employers and employees.

**Applicability:** Employers with at least one Colorado employee are subject to FAMLI contribution requirements. Independent contractors (who pass the ABC test) are not covered.

**Employer obligations:**
- Withhold employee contribution from wages (rate set annually)
- Contribute employer portion (rate set annually)
- Post required FAMLI notice in workplace
- Process and respond to FAMLI leave requests

**Key for ENAC:** If ENAC has any W-2 employees in Colorado, FAMLI applies. Update payroll to include FAMLI contributions. Review annually for rate changes.

## Employee IP Assignment Agreement

Every employee and contractor must sign an IP assignment agreement before starting work. This agreement is separate from the NDA (or can be combined with it for contractors).

**Required elements:**
1. **Assignment clause:** All work product created within the scope of employment or engagement is assigned to ENAC
2. **Scope of "work product":** Deliverables, reports, code, AI prompts and configurations, methodology improvements, presentations, and anything else created in connection with ENAC's business
3. **Pre-existing IP carve-out:** Worker's pre-existing IP (created before the relationship, independent of ENAC's business) is not assigned
4. **Background IP acknowledgment:** Worker acknowledges that ENAC's Background IP (per the Background IP Schedule) belongs to ENAC and the worker has no claim to it
5. **Disclosure obligation:** Worker must disclose any potentially relevant IP created during the relationship so ENAC can confirm it is properly captured
6. **Survival:** IP assignment obligations survive termination of the employment or contractor relationship

---

## Offer Letter Review

For ENAC's offer letters to employees:

**Must include:**
- Position title and reporting structure
- Compensation (consistent with wage transparency posting)
- Benefits summary
- At-will employment statement (Colorado is an at-will state)
- Reference to company policies (employee handbook)
- IP assignment and NDA agreement (by reference or attached)
- Non-compete: if included, provide with the offer letter (14 days minimum before start date)

**Must not include:**
- Guarantees of employment for a specific term (this creates an implied contract)
- Promises about future compensation increases or equity without specific conditions
- Non-compete restrictions beyond the narrow permissible scope under C.R.S. 8-2-113

---

## EEO and Nondiscrimination Compliance

Colorado Anti-Discrimination Act (CADA) prohibits discrimination in employment based on:
- Race, color, religion, national origin, sex, sexual orientation, marital status, age, disability, military status

**For government contracts:** EEO/nondiscrimination flow-down provisions in government contracts require ENAC to:
- Post EEO notices
- Include nondiscrimination language in subcontractor agreements
- Maintain records of good-faith efforts to provide equal opportunity

**Practical application:** Include an EEO / nondiscrimination clause in all subcontractor agreements. For large government contracts, confirm whether an affirmative action plan is required.

---

## Contractor Agreement Essentials

For ENAC hiring a contractor (independent contractor):

1. **Classification recital:** Both parties acknowledge the worker meets the ABC test (include the specific basis)
2. **Scope of services:** Specific tasks, deliverables, and schedule
3. **Payment terms:** Rate, invoice process, payment timeline
4. **IP assignment:** All work product created for ENAC is assigned to ENAC
5. **Background IP carve-out:** Contractor's pre-existing IP is not assigned; ENAC receives a license
6. **Confidentiality:** NDA obligations (standalone NDA or integrated)
7. **Non-solicitation:** Narrow, time-limited; see restrictions above
8. **No agency:** Contractor is not an agent of ENAC and cannot bind ENAC
9. **Governing law:** Colorado
10. **Termination:** By either party on reasonable notice (14-30 days); payment through termination date

---

## Output Structure

1. **Classification analysis**: ABC test applied with specific findings; employee vs. contractor determination
2. **Agreement requirements**: What agreements must be in place before work begins
3. **IP coverage**: IP assignment and NDA status confirmed
4. **Non-compete assessment**: Any restrictions permitted or required under C.R.S. 8-2-113
5. **FAMLI status**: Current contribution obligations confirmed
6. **EEO requirements**: Any government contract flow-down requirements
7. **Outstanding items**: Anything missing, with priority to resolve

---

## Anti-Generic Rules

- NEVER classify a worker as an independent contractor without applying the ABC test
- NEVER use a non-compete for ENAC's contractors or employees without confirming it meets C.R.S. 8-2-113 (2022) requirements
- NEVER start an employee or contractor without an executed IP assignment agreement
- NEVER include a compensation range of "DOE" in a Colorado job posting without a defined range
- NEVER use a non-compete when trade secret + NDA would achieve the same protection
