# Skill: Draft Sustainable Agriculture / Impact Fund LPA
## 1. Subject-matter triage
- This is a full-draft task: produce the LPA itself as the primary work product, not a memo about it.
- Treat the precedent template as the drafting spine and the term sheet, investor materials, DDQ responses, engagement letter, and fee analysis as controls for economics, governance, service providers, and impact terms.
- Where source documents diverge, preserve the agreed business deal in the operative drafting and flag unresolved points with NTD annotations rather than silently choosing.
## 2. Failure modes the skill is correcting
- Drafting ESG KPIs as aspirational language instead of objective, adminstrable provisions with a defined metric, methodology, baseline, and threshold.
- Using bespoke exclusion language that is too vague to administer or that drifts from recognized agricultural, environmental, or permitting concepts.
- Failing to identify service providers with enough specificity once confirmed, or omitting a clear placeholder when confirmation is still pending.
- Resolving open business judgments without surfacing them as NTDs for partner or client decision.
- Allowing the precedent’s structure to override the controlling economics, governance, and impact terms in the source set.
## 3. Legal frameworks / domain conventions that apply
- Draft the LPA in market private fund form, with impact provisions integrated into the main agreement or a defined exhibit if that is the precedent’s convention.
- Impact metrics should be tied to objective measurement standards, recognized external frameworks, or clearly specified internal methodology where market practice permits.
- For emissions, sequestration, soil, water, biodiversity, farmer livelihoods, or similar impact measures, define: the population or asset scope, the unit of measure, the baseline or reference period, the measurement method, and the reporting cadence.
- Exclusion provisions should track administrable categories and, where relevant, align with applicable environmental, permitting, or sector standards rather than moralized or bespoke language.

- NTD annotations belong where the draft depends on a missing business choice, unresolved quantitative threshold, or unconfirmed provider identity.
## 4. Analytical scaffolds
1. Read the full source packet before drafting; use the precedent for form, but let the term sheet and investor materials control the deal points.
2. Draft the economic and governance provisions first, then integrate impact mechanics so they are consistent with the fund’s objectives and reporting architecture.
3. For each impact KPI, write the provision in this sequence: defined scope, measurement method, baseline, threshold or target, testing/reporting timing, and consequence or governance mechanic if the target is missed.
4. For each exclusion, define the prohibited category with enough precision that the fund can apply it consistently across investments and monitoring periods.
5. Confirm whether the engagement letter or DDQ responses identify the administrator, auditor, or other key providers; place those names in the operative document or a designated exhibit if confirmed.

- If a provision depends on future confirmation, keep the operative clause coherent now and isolate the missing item in an NTD rather than leaving a drafting gap.
## 6. Output structure conventions
- Produce a complete LPA in conventional fund-document form, with operative provisions, defined terms, impact sections, and any necessary exhibits or schedules.
- Use industry-standard sectioning and headings; do not mirror any hidden checklist or rubric structure.
- Make the impact and ESG provisions substantive, specific, and internally consistent; avoid generic boilerplate that cannot be administered.
- Use NTD annotations sparingly but clearly at each unresolved business point.
- If a provider is confirmed, name it; if not, clearly mark the slot for follow-up rather than inventing a final identifier.
- The primary deliverable is the finished LPA document itself; ensure the file is drafted as a complete operative agreement, not a summary or outline.
