# Skill: Identify Governance Deficiencies in a Prior Year Proxy Statement — Issues Memorandum for Proxy Season Preparation
## 1. Subject-matter triage
- Treat the proxy statement as the primary source and the related governance materials as the comparison set.
- Identify whether the requested memo is a one-company review or whether multiple entities, plans, or policy regimes appear in the source set; if more than one is present, enumerate them before analysis.
- Separate disclosure defects that are: (i) filing-fix issues, (ii) voting-risk issues, and (iii) governance-improvement issues.
## 2. Failure modes the skill is correcting
- Baseline flags generic governance concerns but misses internal inconsistencies created by the filing’s own numbers, definitions, and summaries.
- Baseline accepts a broad compliance assertion even when specific disclosure elsewhere in the same filing contradicts it.

## 3. Legal frameworks / domain conventions that apply
- **Proxy anti-fraud standard:** A proxy solicitation may not contain a materially false or misleading statement or omit a material fact necessary to make the statement not misleading. Materiality turns on whether a reasonable shareholder would view the information as important to voting. If a blanket statement conflicts with specific disclosure elsewhere in the filing, analyze the inconsistency as a potential misstatement.
- **Disclosure consistency check:** Verify that narrative assertions, tables, definitions, and footnotes all align. Arithmetic, categorization, and ownership-status statements must reconcile to the filing’s own inputs.
- **Director ownership and attendance disclosures:** Compare broad “compliance” statements to director-by-director data and confirm whether any individual disclosure undercuts the blanket statement.
- **Clawback/recovery policy standard:** Compare the company policy against the applicable recovery-policy framework for covered persons, covered compensation, triggering event, and lookback period; each element should be tested separately.
- **Proxy-advisory governance conventions:** Identify issues likely to attract adverse voting recommendations, even where the defect is not independently action-enforcing.
- **Exchange/listing conventions:** Where independence, qualification, or committee-composition issues appear, test them against the cited listing or governance standard before labeling them.
## 4. Analytical scaffolds
- **Source inventory first:** List each proxy section, exhibit, or governance document that bears on the issue set before drawing conclusions.
- **Issue-by-issue comparison:** For each issue, compare the relevant blanket statement, table, policy text, and supporting disclosure; do not collapse distinct defects into one generic governance comment.
- **Consistency and arithmetic check:** Recompute any stated compensation, ownership, attendance, or other formula-driven disclosure from the stated inputs and identify any mismatch.
- **Policy-gap matrix:** Break each policy into its operative elements and compare each element against the applicable standard; note only the specific missing or narrower elements.
- **Severity calibration:** Rank each issue by legal exposure, likelihood of a negative voting response, and speed of remediation required for the next proxy filing.
- **Remediation test:** For each issue, specify the disclosure correction or policy change needed and whether board, committee, or management action is required before filing.
## 5. Vertical / structural / temporal relationships
- Tie each issue to the next proxy-season deadline, not to an abstract governance horizon.
- If correction requires board or committee approval, state that the approval must occur before the filing date or before final proxy production, as applicable.
- Where the source materials show a sequence of prior disclosure, current-year practice, and next-year filing implications, preserve that chronology in the memo.
## 6. Output structure conventions
- Write a prioritized governance issues memorandum in conventional memo form, not a checklist of isolated comments.
- Define one ordinal severity scale up front and apply it consistently to every issue.
- For each issue, include: severity, issue description, source disclosure, controlling authority, why it matters, and recommended correction.
- End with a dedicated Recommended Actions section that assigns an action verb, responsible role, and timing anchor for each next step.
- Include a short closing prioritization summary that distinguishes must-fix filing items from should-fix governance items and monitor-for-engagement items.
- Keep the memo focused on the operative disclosure or policy change needed for the 2025 proxy season.
