# Skill: Compare Representations and Warranties Against Precedent Indenture — Deviation Report for Auto ABS Deal
## 1. Subject-matter triage
- Treat this as a clause-by-clause comparison of two indentures, using the term sheet and issuer counsel notes only as interpretive context.
- Identify the representations and warranties framework as the primary risk-allocation regime, then isolate deviations that weaken investor protection, expand seller discretion, or leave a risk category unaddressed.
- Distinguish three buckets up front: matched provisions with changed language, provisions present in the precedent but missing from the draft, and any new draft concepts that alter scope or remedy.
## 2. Failure modes the skill is correcting
- Comparing only revised wording and missing the precedent-only protections entirely.
- Reporting textual differences without stating the credit risk each change leaves unmitigated.
- Failing to connect a weakened representation to the related remedy, disclosure, collateral, or servicing provision that makes it operationally meaningful.
- Treating all deviations as equally important instead of assigning relative severity.
- Omitting the downstream consequence for the transaction when a protection is narrowed, deferred, or deleted.
- Ignoring that representation sets can shrink even when individual clauses look directionally similar.
## 3. Legal frameworks / domain conventions that apply
- In asset-backed transactions, representations and warranties support repurchase, cure, substitution, or other remediation when collateral facts are not as promised; weakening that regime reduces investor recourse and can impair credit enhancement over time.
- Objective breach standards are stronger than knowledge-based standards because they do not require proof of seller awareness before the remedy can be triggered.
- Longer cure or notice periods increase the time a non-conforming asset remains in the pool without correction.
- Collateral-quality covenants commonly address value caps, term limits, geographic concentration, insurance coverage, title/perfection, and origination-channel quality; each guards a different risk vector and should be analyzed separately.
- Drafts should be checked against disclosure and asset-level reporting expectations so that any representation gap is flagged if it creates an inconsistency with required transaction disclosures.
- Where a proposition depends on a legal standard or recognized market practice, cite the governing authority or the controlling transaction document section, not a bare conclusion.
## 4. Analytical scaffolds
1. Inventory all R&W provisions in the precedent and in the draft before comparing language; the scope delta is itself a material finding.
2. Map each precedent provision to a draft counterpart, or mark it as absent if no counterpart exists.
3. For each matched provision, identify the precise deviation type: narrowed scope, elevated intent standard, added knowledge qualifier, extended cure period, reduced remedy, deleted exception, or drafting ambiguity.
4. For each deviation, state:
- the source-document basis for the comparison,
- the risk left unmitigated,
- the clause or schedule that interacts with it,
- the transaction consequence if left as drafted.
5. For every absent precedent provision, explain why the concept exists in a standard asset-backed R&W package and what risk is newly unaddressed by its omission.
6. When the issue turns on a threshold, duration, exposure window, or concentration concept, tie the analysis to the relevant transactional measure supplied in the source set rather than to abstract language.
7. Apply a uniform ordinal severity scale and use it consistently across all entries.
## 5. Vertical / structural / temporal relationships
- A knowledge qualifier plus a longer cure period is materially worse than either change alone because it delays both breach recognition and remediation.
- If collateral-value, term, insurance, or perfection protections are narrowed together, the combined effect is not additive but compounding: more loss severity, more duration risk, and less recovery certainty.
- A missing origination-channel protection can be more significant when paired with weaker cure mechanics or fewer repurchase triggers, because the pool then admits a riskier asset class with less back-end correction.
- An absent representation may be partially offset by a separate disclosure or servicing covenant, but only if the source documents clearly bridge the gap; otherwise the omission should be treated as standalone risk.
## 6. Output structure conventions
- Write the deliverable as a deviation report, not a narrative memo.
- Start with a short methodology note stating the comparison universe and the severity scale used.
- Use a table or similarly structured matrix with one row per issue and one row per absent precedent provision.
- For each row, include the precedent concept, draft treatment, deviation type, severity, interacting clause or document, credit or operational consequence, and recommended next step.
- Include a separate section for provisions present in the precedent but missing from the draft.
- Add a concise summary up front that states whether the draft is broader, narrower, or mixed relative to the precedent.
- Use the parties and document labels as they appear in the source materials, but do not introduce outside transaction names or examples.
- Keep the focus on operative differences; do not reproduce long quotations from the documents.
- Before finalizing, ensure the primary deliverable file is produced, non-empty, and contains the actual deviation report content.
