## When to invoke this skill
Stage 5 of the GLAW pipeline and a **hard gate** before `/glaw-file`. This is
ETHOS principle 2 made operational: the adversary is always in the room. Every
position the firm intends to file — every cause of action, every tax election,
every securities exemption, every entity in the structure — gets attacked here
before it leaves the building. A claim the firm's own adversary destroys does
not get filed.
RED destroys. BLUE rebuilds only survivors. Nothing reaches `file` until this
pass produces no new fatal attack and `/glaw-legal-research` has verified the
survivors.

## Workflow
### Step 1 — Inventory the positions to attack
From the strategy, structure, and draft work-product, list every discrete
position the matter rests on. Number them. A position is anything an adversary
could defeat in isolation:
- **Litigation**: each cause of action, each element, standing, jurisdiction, SOL, damages theory.
- **Corp-build**: each entity's separateness, each tax election (S-corp, 83(b), QSBS), each securities exemption (Reg D 506(b)/(c), Reg S, ICA 3(c)(1)/3(c)(7)), each transfer of value, each fiduciary structure.
### Step 2 — RED team: fan out one adversary per lens (Agent tool)
Spawn adversaries in parallel via the Agent tool, one per relevant lens. Each is
instructed to try its **hardest to defeat** the matter, not to be fair:
- **Opposing counsel** — motion to dismiss, affirmative defenses, factual holes, every count attacked element-by-element. Route depth to `glaw-forensic-case-investigator` (its own RED/BLUE case-builder) and `glaw-elite-corporate-counsel` (adversarial panel mode). **For a Florida civil (Title VI) complaint, run the cause's dispositive-gate attack** (via `/glaw-fl-quantum-meruit`; enumerate the killers with `glaw-fl-defense for "<claim>"`): §489.128 licensing bar, *Commerce* express-contract bar + pay-if-paid *DEC Electric* condition precedent (QM/construction), the statutory prerequisites (§713.06 NTO + §713.22 1-yr lien clock; §68.065 30-day demand; §70.001 150-day Bert Harris presuit; UEFJA 30-day; §72.011 60-day + bond), standing/venue/long-arm (Ch. 47/48.193), and the limitations period — each count must survive every gate.
- **IRS examiner** — recharacterization, sham/substance-over-form, disallowed deductions, blown elections, reasonable-comp, accuracy penalties. Route to `glaw-financial-forensics` (IRS-audit-shield) and `glaw-tax-strategy`/`glaw-tax-compliance`.
- **SEC / securities reviewer** — integration, general-solicitation defects, bad-actor disqualification, accredited-verification gaps, ICA/Advisers Act traps, disclosure inadequacy. Route to `glaw-fund-regulatory-council`, `glaw-tokenization-compliance`, `glaw-pe-vc-counsel`.
- **Bankruptcy trustee / creditor (FUFTA)** — fraudulent transfer (Ch. 726 / §548), the § 726.105(2) **badges of fraud**, the **§ 726.109 good-faith-transferee-for-reasonably-equivalent-value** defense, **§ 726.110** extinguishment/SOL, preference, veil-pierce / alter-ego, successor liability. Run `glaw-fl-defense for "fraudulent transfer"` + the FUFTA review (`fl-quantum-meruit/templates/causes/fufta-review-workflow.md`); assignments/receivables → **receivables-assignment-counsel** / `/fl-claims-assignment`. Route to `glaw-elite-corporate-counsel` and `/glaw-restructuring`.
- **Federal Defense Counsel (civil — FRCP)** — for any FEDERAL civil matter: Twombly/Iqbal plausibility (12(b)(6)), subject-matter jurisdiction (§§ 1331/1332) + Article III standing (TransUnion), personal jurisdiction (Daimler/Ford), venue/removal/remand, Rule 9(b)/PSLRA particularity + strong-inference scienter, Daubert (FRE 702), Rule 56 summary judgment (Celotex), Rule 11 sanctions, qualified immunity (§1983), abstention (Younger/Rooker-Feldman), and the federal SOL — each count must survive. Confirm every element is pleaded with `glaw-fed-cause show "<claim>"`, then enumerate the killers with `glaw-fed-defense for "<claim>"`; route to `glaw-federal-trial-counsel`.
- **DOJ / AUSA Prosecutor + Federal Criminal Defense** — for any FEDERAL CRIMINAL exposure (wire/bank/securities fraud, FCPA, §1956 laundering, §5324 structuring, §7201 evasion, RICO): the prosecutor proves each element + mens rea (willfulness/specific intent) beyond a reasonable doubt, venue, and the §3282 5-yr (or extended) limitations; the defense attacks intent (Cheek good faith / reliance on counsel), §3282 SOL, venue, 4th-Am suppression, Brady/Giglio, entrapment, and indictment defects. `glaw-fed-defense category fed-criminal`; route to `/glaw-investigations`, `glaw-bureau-prosecutor`, `glaw-federal-trial-counsel`.
- **SEC enforcement defense** — scienter/materiality/reliance/loss-causation (10b-5), § 2462 5-yr penalty/disgorgement limits (Gabelli/Liu) and Jarkesy Article-III-jury bar; route to the SEC division (`glaw-sec-wells-response`, `glaw-sec-enforcement`) which runs its own RED/BLUE swarm. `glaw-fed-defense category fed-regulatory`.
- **Skeptical judge** — does this persuade a tired, hostile bench? Weakest link, credibility, equities, the question you don't want asked.
Use WebSearch only to surface adverse authority and recent rule changes — never
to manufacture a cite; verification is `/glaw-legal-research`'s job.
### Step 3 — Score each position (majority-survives)
For every position, collect the strongest attack from each lens. A position
**survives** only if it withstands the majority of adversaries that have standing
to attack it. Classify each:
- **survives** — withstood every serious attack as drafted.
- **needs-fix** — survivable but only with a specific change (added element, restructured transfer, swapped exemption, better record).
- **struck** — no rebuild leaves it standing; do not file it.
### Step 4 — BLUE team: rebuild only survivors
For each `needs-fix`, draft the specific cure and re-attack it. For each `struck`,
remove it or replace it with a position that can survive. BLUE never rehabilitates
by softening language — it rebuilds the substance or drops the claim. Re-run the
relevant RED lens against every rebuild.
### Step 5 — Loop until quiescent
Repeat Steps 2–4 until a full RED pass surfaces **no new fatal attack**. Only a
clean pass closes the gate. Log each round:

### Step 6 — Verify survivors (HARD requirement before file)
Hand the surviving positions and every authority they rely on to
**`/glaw-legal-research`** for citation verification. An unverifiable survivor is
struck, not filed (ETHOS principle 3).
### Step 7 — Advance
Only when no new fatal attack surfaces AND survivors are verified:

`glaw-adversarial complete` logs `adversarial_done` only when every required RED-team lens for the
matter's workflow profile has recorded `survive`. Then hand off to `/glaw-file`; the file stage is
still blocked until red flags are clear, the final packet is ready, and Chief/Council approval is
recorded.
## Output
A **SURVIVABILITY REPORT** — a table of every position → its strongest attack
(per lens) → `survives` / `struck` / `needs-fix` → the cure applied. The report
names what was dropped and why. Carry the UPL footer from `/glaw-ethics-conflicts`
on the report. Only verified survivors pass to `file`.
## Firm memory
Before substantive work, query the firm memory so known defects are not repeated:

Memory rule: every recurring error, rejected assumption, audit adjustment, citation correction, filing defect, or adversarial lesson is recorded once and reused by future matters through ReasoningBank / `glaw-learnings`.
## Agent identity & reporting posture
