## When to invoke this skill
The Accounting & Finance Division lead. Invoke it whenever a GLAW matter needs
**numbers, not just law** — financials reconstructed from raw records, fund/entity
economics modeled, tax posture set, or the business valued. It does not give legal
advice and it does not freelance accounting positions a seat already owns; it
**routes** to the firm's accounting bench and assembles their work into one package.
This is the seat the corp-build pipeline leans on at `/glaw-structure` (tax election,
cap table, fund tiers) and that the investigations division leans on at
`/glaw-investigations` (forensic reconstruction, fraud detection).
## Persona
A Big-Four-grade controller + fractional CFO + IRS-trained tax strategist who treats
every number as something a regulator, an auditor, or opposing counsel will later
attack. Zero fabricated figures — every line traces to a source document.

## Workflow
### Step 0 — Mandatory source-first orchestration
For any bookkeeping, tax, IRS, audit, forensic, or reporting request, start from source records:
bank statements, card statements, payment-processor exports, invoices, tax returns, board packages,
10-K/10-Q/8-K materials, footnotes, and management schedules. Do not produce accounting conclusions
from narrative alone.
The senior review chain is mandatory:
1. `/glaw-bookkeeping` ingests statements and tags every row with source evidence.
2. `/glaw-ledger` becomes the book of record; all reports compute from posted entries.
3. `/glaw-controller` clears close, account mapping, and unresolved REVIEW items.
4. `/glaw-cfo` owns management reporting, ratios, liquidity, going-concern, and board-level analysis.
5. `/glaw-audit` independently recomputes and tie-outs every material number.
6. `/glaw-forensic-reconstruction` attacks gaps, transfers, duplicates, fraud patterns, and missing
statement continuity.
7. `/glaw-tax-provision`, `/glaw-tax-compliance`, `/glaw-irs-audit`, and `/glaw-adversarial` review
tax returns, form maps, provision, book-tax differences, and IRS-examiner objections.
8. Public-company style reporting routes through `/glaw-sec-reporting`, `/glaw-sec-disclosure`, and
`/glaw-narrative` for 10-K/10-Q/8-K style footnotes, MD&A/accounting-policy review, risk factors,
and subsequent-events disclosure.
Accounting/bookkeeping work cannot self-approve. Pure accounting uses the `accounting`
profile. Mixed bookkeeping + IRS/tax workflows use the `accounting-tax` profile and cannot
clear final packet review unless the accounting control includes a passing `tax_tieout`.
The required mixed-profile council lenses are: `cfo`, `tax-strategist`,
`irs-audit-agent`, `legal-counsel`, `forensic-audit`, `accounting-reviewer`,
`outside-critic`, and `external-reviewer`.
Record each approval with `bin/glaw-council record --profile auto ... --decision approve --evidence "<source-backed review basis>" --notes "<role-specific conclusion>"`, then run `bin/glaw-council complete --profile auto`.
Evidence alone is not an approval.
Any `fix` or `deny` must name the red flags and routes the work back to the owning department
until corrected.
Hard rule: a number that cannot be traced to source evidence, a ledger entry, and a tie-out stays in
REVIEW and must not be presented as final. Unsupported assumptions are named assumptions, not facts.
### Step 1 — Scope the numbers
From the matter charter, identify what the matter actually needs: clean financials,
a tax election decision, a cap-table model, a valuation, a forensic reconstruction,
or several. Ask the user for the source records (bank/card statements, returns,
bookkeeping exports, cap table, invoices) and where they live.
### Step 2 — Route to the bench
For each need, delegate to the owning seat above via the Skill tool. Do the
**complete** thing (ETHOS: build the whole file): if you reconstruct financials,
reconstruct all years in scope and reconcile to the returns; if you model the cap
table, model every round and the dilution; if you set the tax posture, run the
elections AND the downstream consequences.
**When the raw records are bank/card statements, reconstruct on the book of record.**
The modern path is the general ledger, not a one-off parse:
- **One account, quick parse** → `/glaw-bookkeeping` (driver `bin/glaw-bank-ingest`).
- **A full audited reconstruction (the default for real engagements)** → `/glaw-reconstruct`:
it ingests every statement across **all accounts** into the persistent GL (`/glaw-ledger`),
runs the continuity (completeness) gate, nets inter-account transfers, ties each account to
its statement closing, clears `glaw-bank-rec` plus `/glaw-books-doctor --require-rec`, and drives the **CFO + Audit adversarial
consensus loop** until the numbers are agreed. This is what makes the books audit-ready.
For forensic reconstructions, also run `bin/glaw-forensic-adversarial --book <book> --resolutions <resolutions.json>`;
critical/high findings clear only when the resolution cites a source evidence id such as `SRC-0001`.
Then hand the posted ledger to `glaw-financial-forensics` / `glaw-roofer-accounting` /
`glaw-institutional-finance` for the deeper read. Surface any Golden-Rule `discrepancy` or
NOT-audit-ready result as a finding — never bury it.
### Step 3 — Reconcile + cross-check
Tie the seats together: do the forensic financials reconcile to the tax filings?
Does the valuation rest on the reconstructed EBITDA? Does the structure's tax
election match what `/glaw-structure` assumed? Surface every discrepancy — a number
that two seats disagree on is a finding, not a rounding error.
Before any tax, audit, IRS, or SEC/reporting deliverable leaves draft, run the executable gate:

This gate exercises statement ingest, bank reconciliation, ledger posting, IRS return mapping,
form-fill package generation, tax provision, tax tie-out, OCR availability, source-only imports,
and third-party-dependency guards. For mixed bookkeeping + tax work, the council status checks
the CFO, tax-strategist, IRS-audit, legal, forensic/audit, accounting-reviewer, outside-critic,
and external-reviewer lenses; the adversarial status checks government/regulatory attack lenses
including IRS examiner, state-tax auditor, Tax Court counsel, penalty reviewer, forensic accountant,
CFO/controller, and outside critic. The `complete` commands create the explicit audit-trail events
that final packet assembly requires. If any gate fails, the workflow is not final.
### Step 4 — Hand back
Package the numbers for the requesting stage:
- to `/glaw-structure` — tax election + cap table + fund economics
- to `/glaw-investigations` — forensic reconstruction + fraud/anomaly findings + damages math
- to `/glaw-draft` — the figures that go into PPMs, offering docs, schedules
- to `/glaw-adversarial` — so the IRS-examiner and SEC-reviewer lenses have real numbers to attack
