Use for salary, bonuses, allowances, expense reimbursements, withholding reports, employee certificates and employer liability. It separates the employment-income base from cash outlay and distinguishes an evidenced employer-business reimbursement from a personal allowance. Two executable examples compute simple resident monthly withholding and that classification decision. The method preserves the statutory remittance and employment-certificate deadlines while explicitly holding the current form, payment and acknowledgement workflow. Implementation directions, complex payroll, social contributions and pensions remain unresolved jobs; no zero-contribution conclusion is made. Monthly guidance does not settle the annual table discrepancy. This is a conditional working paper with independent source review limited to this conditional"

# Somalia employer withholding and payroll reconciliation v0.1
> **General reference only.** This skill is general tax/accounting reference material for AI-assisted workflows. It has not been reviewed for any specific person's facts, documents, elections, deadlines, residency, filing status, or local procedures. Do not rely on it to file, pay, amend, or take a tax position without review by a qualified professional in the relevant jurisdiction.
## Who this applies to
**Partial employer withholding method for 2026 preparation.** Establish the effective implementation instrument and the relevant administration before using the new rules for a real pay period. Article 90 concerns a resident employer, including a Somali PE, paying employee amounts included in taxable income. It delegates the withholding circumstances to regulations. The new system's effective implementation and later directions remain unresolved. This is not an assertion that all employment anywhere in Somalia follows one administration. [Arts.90,105–106, PDF 109,124–125](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
This Guide covers the employment-income working paper, published monthly guidance, withholding remittance/report and employee certificate. It does not turn a sole trader's own profit into employer payroll. Social contributions, public-service pensions, labour-law entitlements, noncash valuations and the actual submission workflow remain separate unresolved jobs. No absence of a social scheme or zero contribution is inferred.
Regulation 106-1 permits postponement by public notice specifying the period. Regulation 2-2 permits circular inflation adjustments to listed amounts. Regulation 107-1 preserves specified Federal Member State collection pending a formal allocation circular; that allocation instrument has not been established. The [official annual report](https://revenuedirectorate.gov.so/sites/default/files/Annual%20Revenue%20Performance_2025_FINAL11.pdf) describes implementation delays and FY2026 plans, without settling a precise application date. Keep these as specific unresolved instruments, not a claim that no notice exists. [Regulations2-2,106-1,107-1, PDF 3,38–39](https://mof.gov.so/sites/default/files/Publications/Income%20Tax%20Regulation_%200141%2C%202025.pdf).

**Do not equate monthly withholding and annual assessment.** The [annual income Guide](so-income-tax.md#rates-bands-and-thresholds) owns the conflict between the printed annual top-band constant and the monthly table. This payroll table reproduces the authority's guidance as guidance, not an amendment to the statute. Primary monthly tables and end-year reconciliation are delegated by regulation 90-1; the regulation itself supplies no numeric monthly table. Part-month and bonus/arrears reconciliation instructions remain unresolved.
**Primary versus secondary employment.** Under regulation 90-2, only one primary employment exists at a time, generally the earliest. On hiring, ask about current or earlier employment during the year; prior/current employment, failure to answer, or employer suspicion makes the new employment secondary. A secondary employer withholds at the highest Schedule 1 ordinary resident rate,18%, without the primary-retirement reduction. Ministry approval can change primary status or reduce secondary withholding for the specified hardship condition; an employer cannot approve itself. Include the secondary-employee list in the article 93 report. [Regulation 90-2, PDF 27–28](https://mof.gov.so/sites/default/files/Publications/Income%20Tax%20Regulation_%200141%2C%202025.pdf).
For primary employment, regulation 90-1(3) permits reduction for qualifying recognised employer/employee retirement contributions within the statutory limit, subject to the expected annual excess restriction. Noncash pay does not remove withholding; regulation 90-3 requires the employer to fund a cash shortfall, credits that payment to the employee, excludes it from employee income and bars employer deduction/recovery. Value the benefit and apply regulation 105-2’s phased in-kind transition before using that rule; full valuation remains held. [Regulations90-1(3),90-3,105-2, PDF 26–28,35](https://mof.gov.so/sites/default/files/Publications/Income%20Tax%20Regulation_%200141%2C%202025.pdf).
**Employer-specific transition gate.** Regulation 105-8 permits, without penalty, choice between new withholding arrangements and the pre-existing arrangements until the earlier of a direct Ministry notification/formal circular requiring the new system or the end of the fifth assessment year after implementation. Obtain the employer’s notices and record its chosen system before computing payroll. The new monthly illustrations below cannot determine that choice. [Regulation 105-8, PDF 37](https://mof.gov.so/sites/default/files/Publications/Income%20Tax%20Regulation_%200141%2C%202025.pdf).
## The base
1. **Establish employer and employee facts.** Record employer residence/PE, employee residence, pay dates, period, start/leave date and all employers. Obtain the operative withholding instructions, employee identity/TIN and correct administrative registration. If employer withholding does not apply, analyse the employee's instalment/annual obligations rather than assigning zero tax. [Arts.90,97,102, PDF 109,116–117,123](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
2. **Reconcile payments and benefits.** Start with salary, wage, bonuses, allowances, leave/overtime, termination, restrictive-covenant and other employment amounts, irrespective of their labels. Include personal-expense payments unless an exclusion is actually met. Reconcile benefits in kind with the statutory valuation regulation; their valuation is not supplied here. [Art.12(1)–(3), PDF 37–38](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
3. **Test exclusions separately.** Keep evidence for exempt/final-withholding amounts, reimbursement of expenditure incurred for the employer and serving its proper business purpose, specified pension contributions, regulated necessary accommodation and qualifying collective/non-allocable benefits. A flat allowance is not automatically a business reimbursement. Do not deduct the employee's ordinary personal expenses from employment income. [Arts.12(4),16(b), PDF 38,41](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
4. **Prepare withholding and net-pay schedules.** After implementation and regulatory gates are resolved, apply the appropriate residence/period rule to the correctly established employment base. Keep cash paid, excluded reimbursements, noncash benefits, withholding and each other authorised payroll deduction separate. The examples use simple monthly cash facts and the published table only. Do not subtract an invented social percentage or treat the employee's refund expectation as permission to under-withhold. [Art.90(2); Schedule 1 art.5, PDF 109,128–129](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
5. **Reconcile remittance and employee evidence.** Sum employee-level tax to the employer liability, report and payment. Record corrections and retain the employee certificate. Non-final withholding is a payment credit under article 96; final-withholding categories require their own analysis. Keep personal annual reconciliation in the [income Guide](so-income-tax.md). [Arts.93–96, PDF 111–116](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
The Act recognises a civil-service pension fund and a recognition framework for other funds. That alone does not establish a private-employer contribution rate, wage cap or exemption. The old assertion that no comprehensive scheme exists is held as unverified. Determine public/private sector, fund membership and the separate pension/social law before calculating those deductions. [Arts.69–70, PDF 83–84](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
## Deadlines and filing
Under article 93, remit withholding within14 days after month end and submit the prescribed statement at that time. It must identify the payments, each recipient's name/address/TIN, tax withheld and additional prescribed information. Article 94's special employment certificate covers the employment period and is due30 January following year end or within30 days of cessation, rather than the general monthly certificate rule for other withholding. [Arts.93–94, PDF 111–114](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
The [Directorate direct-tax page](https://revenuedirectorate.gov.so/direct-tax) links a withholding workbook. Its listing is not evidence that the 2020-named workbook implements the new law, or proof of the present upload endpoint. Before submission, obtain the accepted form/version, field mapping, registration/TIN instructions, attachment rules, payment reference and acknowledgement route. Transfer only reviewed totals into that form, check employee rows against the ledger, submit through the accepted route, retain the acknowledgement and reconcile the bank/treasury receipt. No authenticated submission or payment has been performed or certified here.
## Penalties and interest
If a withholding agent fails to deduct tax, article 93(3) requires payment from its own funds at the time the tax should have been paid. Article 93(4) also provides joint and several recipient liability and the recipient's14-day month-end obligation; article 93(6) provides agent recovery after paying. These liabilities do not cancel numeric penalties or interest under separate administration rules. No current numeric sanction, interest, assessment period or objection deadline is verified here. [Art.93(3)–(6), PDF 112–113](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
## Cross-border points
Establish residence using the [residence working paper](so-cross-border-residence.md). A foreign nationality/address does not by itself determine non-residence. The employer's PE, source of employment income and any treaty relief require separate evidence; this method grants no treaty exemption. A non-resident's statutory rate and an employer's withholding obligation are separate questions. Foreign-employer/director, secondment and multi-country payroll outcomes remain held pending full source/regulation analysis. [Arts.11,77–80,90; Schedule 1 arts.1,5](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
## Two worked examples that recompute
**Simple monthly cash pay.** Assume ordinary adult resident primary employment, effective applicability established, no benefits/reliefs/other deductions, and the published monthly table confirmed for the period. On USD 1,000 taxable cash pay, withholding is USD 24 +12% × USD 500 = USD 84. Cash after income-tax withholding is USD 916. This is not a statement that no other payroll deduction applies.
```oa-check
name: Published monthly guidance for resident cash pay
inputs:
taxable_cash_pay: 1000
steps:
withholding: 24 + (taxable_cash_pay - 500) * 0.12
cash_after_income_tax: taxable_cash_pay - withholding
expected:
withholding: 84
cash_after_income_tax: 916
```
**Reimbursement or allowance.** On the same primary-employment and applicability assumptions, salary is USD 1,000 and the employer pays another USD 200. If records prove reimbursement incurred for the employer's proper business purpose under article 12(4), taxable pay remains USD 1,000 and published-table withholding USD 84. If the amount is a personal allowance with no applicable exclusion, taxable pay is USD 1,200 and withholding USD 108. Both involve USD 1,200 cash outlay; the USD 24 difference comes from evidenced classification, not the payroll description.
```oa-check
name: Business reimbursement versus personal allowance decision
inputs:
salary: 1000
additional_cash: 200
steps:
reimbursement_base: salary
allowance_base: salary + additional_cash
reimbursement_withholding: 24 + (reimbursement_base - 500) * 0.12
allowance_withholding: 24 + (allowance_base - 500) * 0.12
difference: allowance_withholding - reimbursement_withholding
reimbursement_net_cash: salary + additional_cash - reimbursement_withholding
allowance_net_cash: salary + additional_cash - allowance_withholding
expected:
reimbursement_withholding: 84
allowance_withholding: 108
difference: 24
reimbursement_net_cash: 1116
allowance_net_cash: 1092
```
