Taxpayer classification, effective implementation, specialist sectors, cross-border outcomes and live form and payment instructions remain explicit gates. It replaces unsupported legacy company scales while preserving predecessor topics in a destination ledger and the platform attribution and contact block. It provides a conditional statutory baseline, not a completed filing, current-law assurance or licensed accountant attestation."

# Somalia ordinary company income-tax reconciliation v0.1
> **General reference only.** This skill is general tax/accounting reference material for AI-assisted workflows. It has not been reviewed for any specific person's facts, documents, elections, deadlines, residency, filing status, or local procedures. Do not rely on it to file, pay, amend, or take a tax position without review by a qualified professional in the relevant jurisdiction.
## Who this applies to
**Partial statutory-baseline method for 2026 preparation. Effective implementation, later notices and the current submission route remain unresolved.** Use this to reconcile an ordinary company's taxable business income after confirming which regime applies. It is not a completed return or assurance that the new rules were operative throughout 2026. Article 105(7) permits transitional modification; the official 2025 annual report describes implementation delays. Obtain the applicable dated implementation instrument before signing a position. [Act 37 arts.105–106, PDF 124–125](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
Determine residence with the [residence working paper](so-cross-border-residence.md). The ordinary corporation rate applies to taxable income, not gross receipts. A Somali permanent establishment has a separate attribution and repatriation job. Regulation 9-1 restricts presumptive taxation to a resident individual meeting its conditions. It is not an ordinary corporation turnover regime. Establish the taxpayer’s legal classification before choosing this company method. The Directorate’s small/medium-business summary does not override that restriction. [Regulation 9-1, PDF 5–6](https://mof.gov.so/sites/default/files/Publications/Income%20Tax%20Regulation_%200141%2C%202025.pdf). [Arts.9–11; Schedule 1 arts.3–4; Schedule 2, PDF 35–37,128,130–131](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
Regulation 106-1 permits postponement by public notice specifying the period. Regulation 2-2 permits circular inflation adjustments to listed amounts. Regulation 107-1 preserves specified Federal Member State collection pending a formal allocation circular; that allocation instrument has not been established. The [official annual report](https://revenuedirectorate.gov.so/sites/default/files/Annual%20Revenue%20Performance_2025_FINAL11.pdf) describes implementation delays and FY2026 plans, without settling a precise application date. Keep these as specific unresolved instruments, not a claim that no notice exists. [Regulations2-2,106-1,107-1, PDF 3,38–39](https://mof.gov.so/sites/default/files/Publications/Income%20Tax%20Regulation_%200141%2C%202025.pdf).
## Rates, bands and thresholds
| Item | Statutory baseline and conditions | Official source |
|---|---|---|
| Ordinary corporation | 15% of annual taxable income; corporation classification established; Regulation 9-1 presumptive scheme is for resident individuals | [Schedule 1 art.3; art.9(4), PDF 35,128](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf) |
| Business deduction ceiling | Total deductions in calculating business income cannot exceed 95% of amounts included in that business income; specific limitations also apply | [Art.16(t)(ii), PDF 41–42](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf) |
| Capital expenditure | General business-expense deduction excludes capital expenditure, including an advantage lasting more than 12 months; apply the specific asset rules instead | [Art.17(2), PDF 42](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf) |
| Business losses | Current other-business and preceding 10 tax-year unrelieved losses, subject to compulsory use, ordering, rate matching, statutory loss definition and deduction ceiling | [Art.23, PDF 46–47](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf) |
| Accounting | Corporations use accrual accounting; an approved alternative tax year requires Ministry approval | [Arts.25–28, PDF 48–49](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf) |
The old progressive company scale and effective-rate estimates are not used. The Directorate web page's non-resident-company summary is not a substitute for the Act's corporation, PE and withholding distinctions. Do not transplant a natural-person non-resident rate into a corporation calculation. [Schedule 1 arts.1(4),3–5, PDF 127–129](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
## The base
1. **Identify the legal taxpayer and regime.** Obtain incorporation, ownership, residence, period and turnover records and the dated implementation instruments. Confirm corporation classification; Regulation 9-1 applies to resident individuals, so do not import a turnover regime from the Directorate summary. Keep the classification decision. Exclude partnerships, trusts, exempt bodies, banks, insurers, extractive businesses and reorganisations from this ordinary-company method until their specific rules are applied. [Arts.9(4),54–76; Schedule 2](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
2. **Reconcile revenue from the books to statutory inclusions.** List fees, trading receipts, taxable business-asset gains, depreciation recapture/inclusions, restrictions of business, gifts/subsidies and closely connected investment amounts. Remove exempt/final-withholding amounts and amounts belonging to another income class to avoid double counting. Do not treat a book profit figure as the tax base. [Arts.13–15, PDF 39–41](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
3. **Use the correct timing.** Under accrual, record entitlement to revenue and incurred obligations subject to economic performance. Reconcile opening/closing debtors, creditors, advances and stock. The inventory allowance is opening value plus costs incurred less closing value, with closing value the lower of cost and market; verify valuations and no duplicate deduction. [Arts.19,26–28, PDF 43,48–49](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
4. **Build the deduction schedule.** Allow only authorised income-producing expenses. Separate private/non-considered costs, capital expenditure, exempt-income costs and distributions. General business expenses do not create an automatic deduction for capital purchases. Identify assets, acquisition dates, use and disposal proceeds; calculate statutory depreciation under the regulation, then reconcile it to book depreciation. Debt-return limitations, repair caps, financial instruments and disposal losses require their own supporting schedules. Stop if the relevant special rule has not been resolved. [Arts.8,16–22, PDF 33–35,41–45](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
5. **Apply losses and the overall ceiling.** Reconcile each loss year, use and remaining life. Use permitted losses after other deductions and in chronological order; apply the rate-matching conditions. A tax loss is not necessarily the accounting loss: article 23 defines the business loss by reference to 95% of included amounts. Cap total permitted deductions at 95% of the business inclusions. Carry forward only an amount the actual loss provisions permit, not every disallowed expense. Regulation 105-4 retains old-law restrictions for opening losses; opening balances do not acquire a fresh unrestricted life. [Regulation 105-4, PDF 36](https://mof.gov.so/sites/default/files/Publications/Income%20Tax%20Regulation_%200141%2C%202025.pdf). [Arts.16,23, PDF 41–42,46–47](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
6. **Compute and reconcile tax.** For a taxpayer correctly in the ordinary corporation regime, multiply taxable income by the corporation rate above. Separately analyse final withholding and PE repatriation charges. Reconcile supported withholding credits, instalments and any separately established foreign credit; do not credit the same payment twice. Show gross tax, each evidenced credit and balance. [Arts.9,96–98,101–103; Schedule 1 art.3, PDF 35–36,116–119,122–123,128](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
The examples exclude stock, capital assets, interest, special sectors, investments, foreign tax and loss carryforwards so the amounts supplied as allowable expenses are assumed independently established. They test the ordinary computation, not unresolved eligibility.
## Deadlines and filing
The statutory return deadline is 31 March following a calendar year, subject to article 102 exceptions; article 101 instead states the 30th day after an approved non-calendar year. Self-assessed balance is due with the return. Business/investment instalments and the estimated-tax statement are separate duties under articles 97–99. Regulation 97-1 computes each ordinary instalment as (A−B)/C−D: A=current estimated annual tax; B=prior instalments plus creditable withholding through the previous quarter; C=instalments remaining including current; D=current-quarter creditable withholding. Do not count a withholding payment in both B and D. Verify all four inputs and any article 97 modification. Regulation 105-10 separately provides first-implementation-year company/trust relief and instalment floors; complete that transition calculation before using this ordinary formula in that year. [Regulations97-1,105-10, PDF 29,37–38](https://mof.gov.so/sites/default/files/Publications/Income%20Tax%20Regulation_%200141%2C%202025.pdf). Do not replace these with the old claim that annual deadlines are uncodified. [Arts.97–103, PDF 116–123](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
Prepare a return working paper containing taxpayer/period, each income source, taxable income, tax, credits and outstanding balance, with withholding certificates and supporting statements. These are article 101 contents, not verified screen labels. The [Directorate forms page](https://revenuedirectorate.gov.so/direct-tax) links a corporate workbook; its presence alone does not prove it implements Act 37 or identify a live submission endpoint. Before submission verify the accepted form/version, exact fields, TIN/registration route, attachments, payment reference and acknowledgement with current official instructions. Save the accepted return, receipt and payment evidence and reconcile the amount paid. The method remains incomplete while that path is unresolved. [Arts.98,101–103, PDF 117–123](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
## Penalties and interest
No numeric late-return, late-payment, understatement, interest or appeal figure has been verified from the current administration instruments for this Guide. Keep the actual notice and its service date. Do not infer a zero penalty. For withholding failure, see the employer liability in [payroll](so-payroll-social.md); final withholding is a separate payer obligation. Administrative sanctions and challenge procedure remain a specific hold.
## Cross-border points
Resident assessable scope and non-resident PE/source scope differ under article 11. Use the [residence](so-cross-border-residence.md) and [pricing](so-transfer-pricing.md) working papers before evaluating a foreign transaction. Dividends, debt returns and royalties require article 91 payer/source/exemption conditions, Schedule 1 rates and article 95 finality analysis; their rates alone cannot establish the correct tax. PE attribution/repatriation, treaty entitlement, foreign credit, CFC rules and withholding returns remain separate incomplete jobs. [Arts.11,37,77–88,91,95; Schedule 1 arts.4–5](https://sag.gov.so/media/documents/bulletins-contents/legislation/2025/Sharciyeedka_Canshuurta_Dakhliga.pdf).
## Two worked examples that recompute
**Ordinary company.** Assume operative ordinary-company treatment is established, business inclusions are USD 100,000 and independently allowable revenue expenses are USD 70,000, with no other items. The ceiling is USD 95,000; all USD 70,000 is within it. Taxable income is USD 30,000 and gross tax USD 4,500. Do not apply this example to a simplified taxpayer.
```oa-check
name: Ordinary corporation with supported expenses
inputs:
included_income: 100000
allowable_expenses: 70000
steps:
ceiling: included_income * 0.95
allowed: min(allowable_expenses, ceiling)
taxable_income: included_income - allowed
gross_tax: taxable_income * 0.15
expected:
ceiling: 95000
taxable_income: 30000
gross_tax: 4500
```
**Book profit versus statutory floor.** On the same ordinary-regime and no-other-items assumptions, independently allowable expenses before the overall ceiling are USD 97,000. Book profit is USD 3,000, but only USD 95,000 is deducted in this year's business-income calculation. Taxable income is USD 5,000 and gross tax USD 750 rather than the USD 450 obtained by multiplying book profit. Article 23's separate loss schedule must establish any carryforward; the example does not assume that USD 2,000 automatically carries.
```oa-check
name: Decide between book profit and the business deduction ceiling
inputs:
included_income: 100000
otherwise_allowable_expenses: 97000
steps:
book_profit: included_income - otherwise_allowable_expenses
ceiling: included_income * 0.95
allowed: min(otherwise_allowable_expenses, ceiling)
taxable_income: included_income - allowed
gross_tax: taxable_income * 0.15
book_profit_tax: book_profit * 0.15
difference: gross_tax - book_profit_tax
expected:
book_profit: 3000
taxable_income: 5000
gross_tax: 750
book_profit_tax: 450
difference: 300
```
## Ask the client first
- Which company, administration, assessment period and dated implementation/regime decision apply?
- What are annual turnover, business activities, ownership, management and foreign establishments?
- Can the trial balance, invoices, stock, debt and asset schedules support each revenue and deduction?
- Which loss years, tax computations, credits, instalment payments and withholding certificates exist?
- Which related-party/foreign payments, special-sector activities, notices and pending assessments exist?
- Which current form, taxpayer registration, payment route and receipt instructions were supplied?
