# Somalia company registration packet and annual-report preparation v0.1
> **General reference only.** This skill is general tax/accounting reference material for AI-assisted workflows. It has not been reviewed for any specific person's facts, documents, elections, deadlines, residency, filing status, or local procedures. Do not rely on it to file, pay, amend, or take a tax position without review by a qualified professional in the relevant jurisdiction.
## Who this applies to
**Partial registration and annual-report preparation method,2026.** It covers the domestic-company application packet and foreign-branch document branch using Companies Law18/2019 and the registry's original Somali publication of regulation 001/2021. It does not establish that an entity is registered, licensed or authorised to trade. The current fee page and published regulation disagree on incorporation fees; annual-report publications also differ. Resolve the exact applicable fee, deadline and operative version before payment or filing. [Regulation arts.6–19](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001); [Companies Law](https://www.osagsomalia.com/media/documents/bulletins-contents/legislation/2019/Sharciga_Shirkadaha.pdf); [current fees](https://ebusiness.gov.so/fees).
A company's incorporation certificate, business licence, regulated-sector authorisation and tax registration are separate outputs. A sole proprietor or NGO is not automatically a company type covered by this packet. Entity liability, ownership restrictions, minimum capital, tax election and beneficial-ownership duties require their own sourced decision. No unsupported “no minimum capital”, “four days” or universal no-notarisation promise is retained.
## Rates, bands and thresholds
| Item | Sourced condition or unresolved amount | Official source |
|---|---|---|
| Name reservation | Application to Company Registrar; maximum90 days under published regulation, subject to name requirements | [Arts.10–11](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001) |
| Certificate time | One working day after application documents are submitted **and accepted**; not a total incorporation promise | [Art.6(4)](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001) |
| Incorporation fee | Unresolved: regulation art.14 saysUSD100; current registry service table showsUSD50 for listed company registrations. Obtain current lawful fee confirmation and receipt before paying | [Art.14 and Schedule 1](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001); [fee table](https://ebusiness.gov.so/fees) |
| Annual report | Original Somali art.15 says30 days after incorporation-certificate anniversary. Official English HTML omits anniversary and an unacquired indexed Ministry PDF indicates a different timing. Exact operative deadline remains held | [Art.15](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001); [English registry text](https://ebusiness.gov.so/knowledge-base/resource/company-law-regulations-english) |
## The base
1. **Choose the legal job and activity.** Record domestic company or foreign branch, owners, managers, business activities, location and required sector authorisations. Read the proposed constitution/ownership arrangements. Keep tax residence/PE assessment separate from registry presence. Refer unsupported sole-trader/NGO/ownership/capital questions before choosing the packet. [Arts.7–9,19](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
2. **Check and reserve the name.** Apply to the Company Registrar with applicant name/address and proposed company name; check the statutory name restrictions and existing register. The predecessor’s Chamber-of-Commerce reservation step is replaced by the sourced Registrar route. Obtain the reservation evidence and expiry. Do not treat a search result as an accepted reservation. [Arts.10–11](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
3. **Build the domestic application packet.** Use a Registrar-issued/approved application, the founding memorandum and articles identifying shareholders, share type/quota, passports for founders/shareholders and additional information requested under the law. State the company and director addresses; each board member's passport, telephone, email and bank-account statement. Reconcile names and share interests across every document before submission. [Arts.8,13](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
4. **Use the foreign-branch branch when applicable.** Obtain notarised and Somali-embassy-certified power of attorney, constitution/memorandum/articles, foreign incorporation certificate and shareholders’ resolution authorising the Somali branch. Add the foreign shareholders’/directors’ passport copies, names/passports of Somalia-resident directors and local legal representative. Do not assume a domestic packet satisfies this branch. Article 19 preserves Foreign Investment Law requirements; this method does not establish those approvals. [Art.19(1)–(3)](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
5. **Resolve fee and submit accepted documents.** Regulation 17 permits online application through the registry. Its general authorisation does not establish the current authenticated screen sequence or every field. Confirm form/version, fee/receipt and any court/notarial steps required for the chosen entity before submitting; original Companies Law provisions retain priority. Keep the actual response, remedy any stated deficiency and obtain the final certificate. Check name, type, registration number, issue details and Registrar signature against the accepted packet. [Arts.6,14,17,22](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
6. **Complete the operating and reporting handover.** Obtain the separate business licence; a regulated business cannot start until its required authorisation is granted. Prepare tax registration/payroll/sales-tax follow-ups using current instructions. Set up annual-report and change-notification records. Filing a company document does not complete those other duties. [Arts.7,9,12,15](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
## Deadlines and filing
Prepare an annual-report packet with company name; administrative/business addresses; board/CEO/executive names and addresses; type and principal activity; shareholders/share numbers and ownership; changes to management/shareholding/number/value of shares; and confirmation that activity matched the licence. The Registrar can prescribe its forms. Establish the actual anniversary/deadline and accepted form before diarising a final filing date. [Art.15(1)–(3)](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
Changes of directors, shareholders, officers and business activities must be notified to the Registrar under art.12(2); that clause does not supply a verified numeric deadline here. Distinguish certificate validity from operating-licence renewal; regulation 6(5) addresses certificate life subject to major changes/re-registration, not a universal annual licence renewal price. Current annual financial-statements/audit/beneficial-ownership thresholds, reporting deadlines, licence renewal and authenticated submission/payment/acknowledgement remain incomplete jobs. [Arts.6(5),7,12,15,17](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
## Penalties and interest
Regulation 15(4),21 and its schedules provide sanctions and dispute routes, but current numerical penalties, fee amendments and Companies Law/registry appeal procedure have not been fully reconciled. Do not quote a guessed late-report fee, promise automatic acceptance or infer immunity from an unavailable form. Preserve deficiency/rejection notices and service dates and obtain the actual applicable challenge route. [Arts.6(2),15(4),18,21–22](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
## Cross-border points
Foreign incorporation does not remove branch-registration requirements. Certification and local representative documents are in the branch packet above, but foreign-investment approval, ownership restrictions, permanent-establishment profit, withholding and treaty treatment require separate analysis. Link the [residence](so-cross-border-residence.md), [company tax](so-corporate-income-tax.md) and [pricing](so-transfer-pricing.md) Guides as relevant, retaining their own implementation gates. Registry acceptance is not tax clearance. [Art.19](https://ebusiness.gov.so/knowledge-base/resource/xeer-nidaamiyaha-sharciga-shirkadaha-sharci-l-18-ee-26-12-20190001).
## Two worked examples that recompute
**Capital schedule reconciliation.** Two founders choose100 shares atUSD100 each, allocated60/40. Declared capital isUSD10,000 and their recorded subscriptions areUSD6,000 andUSD4,000. Check the total against the memorandum, application and share register. These are fictional chosen terms; neither a statutory minimum nor advice on entity suitability.
```oa-check
name: Reconcile chosen share and subscription schedule
inputs:
first_shares: 60
second_shares: 40
chosen_value_per_share: 100
steps:
total_shares: first_shares + second_shares
first_subscription: first_shares * chosen_value_per_share
second_subscription: second_shares * chosen_value_per_share
declared_capital: total_shares * chosen_value_per_share
reconciliation_difference: first_subscription + second_subscription - declared_capital
expected:
total_shares: 100
first_subscription: 6000
second_subscription: 4000
declared_capital: 10000
reconciliation_difference: 0
```
**Fee conflict decision.** A packet matches a company type in the liveUSD50 registration table, while the published regulation statesUSD100 incorporation fee. The difference isUSD50. The correct decision is to obtain the current operative fee basis and payment instruction before paying; neither the arithmetic nor this Guide authorises selecting one source. Business-licence/activity fees are additional separate questions.
```oa-check
name: Reconcile conflicting incorporation fee sources before payment
inputs:
published_regulation_fee: 100
live_registry_service_fee: 50
steps:
unresolved_difference: published_regulation_fee - live_registry_service_fee
expected:
unresolved_difference: 50
```
## Ask the client first
- What domestic company/foreign branch and actual business, location and sector licences are proposed?
- Who are the founders, shareholders, directors and local representative, with passports and addresses?
- What name reservation, constitutional/share terms, authorisations and certified foreign documents exist?
- What board-member contact/bank evidence supports the prescribed packet?
- What certificate, annual-report, ownership/management changes and current licence records exist?
- Which current form, fee basis, filing deadline and submission/payment instructions were supplied?

Not yet confirmed: exact operative fee amendments and annual-report deadline/version; full Companies Law/regulation reconciliation including court/notarial steps, foreign-investment/ownership approvals and minimum capital; current form fields, authenticated registration/payment/receipt workflow; TIN/FormTR1, entity-choice treatment of sole traders/NGOs; beneficial ownership, annual financial statements/audit, change deadlines and licence renewal; current penalties/appeals. The old four-day timeline, no-minimum-capital claim and generic all-document notarisation step are not certified. Independent source review accepts this bounded baseline only; no accountant attestation.
