It states the deduction restrictions for exempt and final-tax income and the apportionment of common expenditure. The two cases assume supported adjusted income and eligible credit records. # Malawi ordinary company tax and minimum alternative tax v1.4

> **General reference only.** This Guide is general tax/accounting reference material for AI-assisted workflows. It has not been reviewed for any specific person’s facts, documents, elections, deadlines, residency, filing status, or local procedures. Do not rely on it to file, pay, amend, or take a tax position without review by a qualified professional in Malawi.

## Who this applies to

**Current-year source hold.** This is a draft reconstruction of the cited provisions, not confirmed operative 2026 coverage. The enacted [Taxation (Amendment) Act 3 of 2026](https://media.malawilii.org/media/legislation/15519/source_file/2e96ab6e73cdf961/mw-act-2026-3-publication-document.pdf) has now been read in full and its relevant changes are identified in the company, individual and TP drafts. Appointed commencement notices for the Tax Administration Act and the 2021 administrative cutover remain unread; period allocation and the complete operative chain are not approved. Do not use this draft to determine an actual 2026 tax position, file, pay or complete a live registration/notice response until those checks are closed. The examples illustrate the cited-text assumptions only. The 2026 year label identifies the intended research period, not completed verification.

Use for an ordinary non-mining company computing income tax under section 66 and the Eleventh Schedule. The income is received/accrued from sources within or deemed within Malawi. Act 14 of 2025 removed the ordinary company extra tax for incorporation outside Malawi; do not restore the old branch surcharge. Mining, insurance, priority-industry approvals and special regimes require their own verified computation. [Act 36/2025 ss 3–4](https://elibrary.rat.gov.mw/server/api/core/bitstreams/f9c5b41b-5dce-4764-b7c2-923c808bda48/content); [Act 14/2025 s 3](https://elibrary.rat.gov.mw/server/api/core/bitstreams/fb807c0f-1335-442a-a1ce-9d6644186525/content). The two MRA December notices disagree between 30 and 31 December 2025; these examples are for periods wholly after both dates, not transition allocation.

## Rates, bands and thresholds

| Item and exact scope | Cited-text figure; currentness check pending | Official law |
|---|---|---|
| Ordinary non-mining company taxable income | 30% | [Act 17/2023 s 11, Eleventh(c)](https://elibrary.rat.gov.mw/server/api/core/bitstreams/72477a6a-7348-4dd8-8a05-a7ea265a5e00/content) |
| Taxable income above K5,000,000,000 | Additional 10% on the excess, producing a 40% marginal rate | [Act 12/2024 s 7](https://elibrary.rat.gov.mw/server/api/core/bitstreams/73f74c7c-868f-4521-9046-17cc5c13ced2/content), read with [Act 36/2025 s 6(a)](https://elibrary.rat.gov.mw/server/api/core/bitstreams/f9c5b41b-5dce-4764-b7c2-923c808bda48/content) and [Act 3/2026 s 12](https://media.malawilii.org/media/legislation/15519/source_file/2e96ab6e73cdf961/mw-act-2026-3-publication-document.pdf) |
| Minimum alternative tax (MAT) | 0.5% total turnover | [Act 36/2025 ss 4,6(b)](https://elibrary.rat.gov.mw/server/api/core/bitstreams/f9c5b41b-5dce-4764-b7c2-923c808bda48/content) |
| MAT scope | Turnover **exceeds** K5,000,000,000 and business engaged for at least three years of assessment | [Section 66A(3)](https://elibrary.rat.gov.mw/server/api/core/bitstreams/f9c5b41b-5dce-4764-b7c2-923c808bda48/content) |
| MAT credit life | Six following years of assessment; oldest first; non-refundable | [Section 66B(2)](https://elibrary.rat.gov.mw/server/api/core/bitstreams/f9c5b41b-5dce-4764-b7c2-923c808bda48/content) |

The additional-tax chain matters: Act 36/2025 s 6(a) changes the word after “of”, reducing the additional rate from 10% to 5%; it does not reduce the K10 billion threshold. Act 3/2026 s 12 then restores the 10% additional rate and changes the threshold after “above” from K10 billion to K5 billion. The table and examples use that final cited-text combination, not an earlier-period computation. [Act 36/2025 s 6(a)](https://elibrary.rat.gov.mw/server/api/core/bitstreams/f9c5b41b-5dce-4764-b7c2-923c808bda48/content); [Act 3/2026 s 12](https://media.malawilii.org/media/legislation/15519/source_file/2e96ab6e73cdf961/mw-act-2026-3-publication-document.pdf).

MAT does not require a continuous loss position. Age is measured in years of assessment, not assumed trading anniversaries.

## The base

Start with tax-adjusted taxable income, not turnover. Section 28(1), replaced in 2023, permits noncapital expenditure/losses wholly, exclusively and necessarily incurred for trade or income production. Section 28(2) permits deduction only for expenditure producing taxable income when taxable and exempt income coexist, and disallows expenditure related to income subject to a final tax. If common expenditure cannot be directly attributed, the deductible share is common expenditure multiplied by taxable income divided by total income. If that formula gives an unreasonable result, the Commissioner General may approve or direct another apportionment method. Apply those restrictions before using the adjusted taxable-income input. Act 3/2026 s 4 also inserts section 45(l) into the deductions-not-allowed provision: add back any levy payable under the Taxation Act or any other written law. Reconcile this with the levies actually charged in the accounts before fixing the taxable-income input. [Taxation 45](https://elibrary.rat.gov.mw/server/api/core/bitstreams/06b35bf5-faa2-4fa1-81f7-af650cce4dff/content); [Act 3/2026 s 4](https://media.malawilii.org/media/legislation/15519/source_file/2e96ab6e73cdf961/mw-act-2026-3-publication-document.pdf). Reconcile accounting depreciation, capital allowances, exemptions, capital gains and non-allowable costs separately. General capital gains enter section 11 income; the listed-share holding-period exemption position remains unresolved. Act 36/2025 s 5 literally deletes First Schedule (hb), while the historical principal labels the listed-share holding-period exemption (hc). The intervening paragraph-label chain is not established, so this draft supports neither removal nor continuing availability of that exemption and does not approve an earlier or straddling gain calculation. See [listed-share withholding](mw-listed-share-withholding.md), including its currentness hold. Detailed gain/basis rules remain outside this working paper. [2023 s 3](https://elibrary.rat.gov.mw/server/api/core/bitstreams/72477a6a-7348-4dd8-8a05-a7ea265a5e00/content); [Act 36/2025 s 5, printed p 4](https://elibrary.rat.gov.mw/server/api/core/bitstreams/f9c5b41b-5dce-4764-b7c2-923c808bda48/content); [historical principal First Schedule (hb)–(hd), printed p 86](https://elibrary.rat.gov.mw/server/api/core/bitstreams/06b35bf5-faa2-4fa1-81f7-af650cce4dff/content).

Compute ordinary tax, adding the marginal excess charge. For a company meeting both MAT conditions, turnover includes exempt amounts but excludes final-withholding payments (66A(2)). Compute MAT. Apply only valid, unexpired prior MAT credit to ordinary income tax, capped at ordinary tax less current MAT, then pay the higher result and MAT. If current MAT exceeds ordinary income tax, section 66B grants the difference as a new credit. Track origin, use, expiry and FIFO; never refund or use a credit to reduce liability below current MAT. [Sections 66–66B](https://elibrary.rat.gov.mw/server/api/core/bitstreams/f9c5b41b-5dce-4764-b7c2-923c808bda48/content).

## Deadlines and filing

Prepare the income-tax reconciliation, MAT turnover bridge, assessment-year age evidence, credit-year register and provisional receipts. Taxation 84A requires provisional payments within thirty days after each quarter; aggregate instalments must meet at least 90% actual liability, with separate seasonal-income rules. [Taxation 84A](https://elibrary.rat.gov.mw/server/api/core/bitstreams/06b35bf5-faa2-4fa1-81f7-af650cce4dff/content). Obtain the current annual filing deadline and prescribed return before submission: the old consolidated section 84(1) stating 180 days was deleted by the 2021 administrative cutover and is not cited as current law. TAA 40 requires the prescribed form/manner, signed by the authorized manager with completeness/accuracy declaration. Electronic filing recognition uses the document registration number under 38(3); keep it and payment proof. [2021 cutover Schedule](https://elibrary.rat.gov.mw/server/api/core/bitstreams/e43a8644-e1e1-46d8-82d7-7e80afd5fd50/content); [TAA 38–40](https://elibrary.rat.gov.mw/server/api/core/bitstreams/42eb322b-f2a9-48b9-baaf-01c2ade040f5/content). Portal boxes and annual due-date authority remain partial.

## Penalties and interest

Late payment under TAA 87 attracts 20% unpaid tax plus interest at the prevailing bank lending rate plus five percentage points per annum, applied for each month or part of the outstanding period. Do not substitute the old monthly tax-law penalties from superseded guidance. Under-estimation below 90% actual annual tax invokes TAA 86; obtain assessment dates and principal before calculating its penalty/interest. The current bank rate is not supplied here. [TAA 86–87](https://elibrary.rat.gov.mw/server/api/core/bitstreams/42eb322b-f2a9-48b9-baaf-01c2ade040f5/content).

## Cross-border points

Confirm Malawi source/deemed source and distinguish resident/foreign incorporation from treaty entitlement. Ordinary foreign-incorporated companies no longer receive the removed extra charge. Dividends, interest, royalties, mining payments and treaty relief remain separate withholding jobs; this Guide does not turn the old unsourced headline figures into a withholding table.

## Two worked examples that recompute

Hypothetical ordinary non-mining companies already operating for at least three years of assessment. Both cases assume a period to which the Act 3/2026 changes apply, without allocating a straddling period. Taxable income is after all allowed adjustments, including levy add-backs; turnover is the statutory MAT turnover. First, MAT creates a credit.

```oa-check
name: MAT controls and creates credit
inputs:
  taxable_income: 20000000
  turnover: 10000000000
steps:
  - ordinary: taxable_income * 0.30
  - mat: turnover * 0.005
  - payable: max(ordinary, mat)
  - new_credit: max(0, mat - ordinary)
expected:
  ordinary: 6000000
  mat: 50000000
  payable: 50000000
  new_credit: 44000000
```

Second, taxable income crosses the additional-tax boundary. A valid oldest prior MAT credit is used subject to the current MAT floor.

```oa-check
name: Additional band and carried MAT credit
inputs:
  taxable_income: 6000000000
  turnover: 20000000000
  valid_old_credit: 44000000
steps:
  - ordinary: taxable_income * 0.30 + max(0, taxable_income - 5000000000) * 0.10
  - mat: turnover * 0.005
  - credit_used: min(valid_old_credit, max(0, ordinary - mat))
  - payable: max(mat, ordinary - credit_used)
expected:
  ordinary: 1900000000
  mat: 100000000
  credit_used: 44000000
  payable: 1856000000
```
