# Gabon corporate income tax v0.1
> **General reference only.** This skill is general tax/accounting reference material for AI-assisted workflows. It has not been reviewed for any specific person's facts, documents, elections, deadlines, residency, filing status, or local procedures. Do not rely on it to file, pay, amend, or take a tax position without review by a qualified professional in the relevant jurisdiction.
**2026 draft and currency hold.** This is a research draft for 2026, not a certified consolidation of the law in force. The DGI-hosted 2025 CGI is a historical baseline, read alongside enacted Law 041/2025 of 29 December 2025 and Law 002/2026 of 17 July 2026. The complete intervening amendment chain, transaction-specific commencement and implementing instruments have not been established. Do not use a baseline figure as an operative 2026 filing instruction. A July amendment is identified as such; its promulgation date alone does not establish its first taxable period. No independent pack review or accountant attestation has occurred.
## Who this applies to
Companies and other persons within CGI articles 4-7. The ordinary corporate source rule and exemptions must be tested before computing. Registered Gabon companies, effective management and nonresident permanent establishments have different gateways. Oil, mining, tourism incentives, special zones, restructuring and treaty positions require separate evidence. [CGI art7-I](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-SCOPE).
## Rates, bands and thresholds
| Item and conditions | Rule or amount (XAF unless stated) | Period/status | Official source |
|---|---|---|---|
| Ordinary IS after profit rounding | 30%; taxable profit rounded down to the nearest 1,000 | 2025 statutory baseline; 2026 currency hold | [CGI art16](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-RATE) |
| Oil and mining headline | 35%; sector contracts and special legislation excluded | 2025 statutory baseline; 2026 currency hold | [CGI art16](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-SECTOR) |
| Turnover minimum | 1% of statutory reference turnover, rounded down to 1,000 | 2025 statutory baseline; 2026 currency hold | [CGI arts24-25](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-MIN) |
| Fixed floor | 500,000, subject to article 26 relief | 2025 statutory baseline; 2026 currency hold | [CGI art24](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-FLOOR) |
| New-business minimum relief | Qualifying newly registered entities; two deficit exercises; qualifying PME/PMI three years. No automatic relief for a relabeled or previously active business. | 2025 statutory baseline; 2026 currency hold | [CGI art26](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-RELIEF) |
| Instalment proportions | One quarter, then one third of prior-year tax, not a rounded 33% | 2025 statutory baseline; 2026 currency hold | [CGI art21](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-INSTAL) |
## The base
Start from net business profit, including taxable fixed-asset disposal gains, then reconcile tax adjustments. [CGI art8](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-BASE). Costs require business purpose, actual expense, adequate evidence, correct period, net-asset decrease and no statutory exclusion or abnormal management. The initial 2026 law introduced normalized electronic invoices and a six-month customs-document exception from promulgation. July permits electronic invoices or documents admitted by regulation. Do not assume every PDF invoice or customs receipt qualifies. [LF041/2025 art4 replacing CGI art11](https://dgb-gabon.net/uploads/documentation/Texte%20juridique/178946560179.pdf) (ledger C-DEDUCT); [LFR002/2026 art4, CGI art11bis](https://dgb-gabon.net/uploads/documentation/Texte%20juridique/178593988623.pdf) (ledger C-INVOICE).
Ordinary deficits carry through the fifth following exercise, only against available profit. Exempt-activity losses cannot be carried; partially exempt activities must be separated and reduced-rate losses have a proportional restriction. [CGI art11-IV](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-LOSS). Compare profit tax, turnover minimum and fixed floor after proving any relief. The code baseline relief wording is not a blanket exemption for every start-up. [CGI art26](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-RELIEF).
## Deadlines and filing
The corporate period is the calendar year; the final-six-month start-up exception can extend the first balance-sheet period. Keep OHADA accounts. [CGI art15](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-YEAR); [CGI art17](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-BOOKS). Results declaration is required before 30 April of the following year. Instalments fall on 30 November and 30 January; balance is due by 30 April. A reduced-instalment declaration must be supportable and has its own inaccuracy sanction. [CGI art20](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-RETURN); [CGI art21](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger C-INSTAL).
The public e-tax link does not prove a complete filing route. This draft has not inspected an authenticated account, current return identifier, box numbers, payment reference generation or acceptance receipt. Obtain the current authority form and preserve the accepted declaration and payment receipt before treating the job as complete.
## Penalties and interest
The baseline late-return rule is 5% of declared rights before formal notice, or 10% if filed within seven days after notice. Failure after notice moves to ex officio assessment and separate sanctions. Nil, deficit and missing-annex returns have their own fixed penalties; do not apply a percentage to zero and call the penalty zero. [CGI artsP998-999](https://dgi.ga/wp-content/uploads/dgi-content/d1dde772234076c5d2bc0a8d8d3db573ed3d8fdd6c3e869c8c57cd181a81bb70/assets/dgi/2d50ab6c2e-Gabon-CGI-2025.pdf) (ledger G-DELAY). July 2026 replaces the DGE/CIME late or incomplete electronic-payment rule with a 10% penalty plus article P-996 interest and excludes collection penalties when P-998 late-filing penalties apply. For an actual default, establish its date, taxpayer service and procedural notices before computing. [LFR002/2026 art4, CGI artP1000](https://dgb-gabon.net/uploads/documentation/Texte%20juridique/178593988623.pdf) (ledger G-PAY).
## Cross-border points
Use [cross-border](ga-cross-border.md) for nonresident services, dividends, interest, share gains, PE and treaty questions. Use [transfer pricing](ga-transfer-pricing.md) for related-party costs. Withholding is not an alternative label for ordinary company tax, and a corporate tax estimate does not settle VAT or payroll.
## Two worked examples that recompute
**Ordinary profit.** Assume an established ordinary company has already reconciled taxable profit of 10,000,000 and no sector or incentive adjustment. Profit tax is 3,000,000 before credits and minimum-tax comparison.
```oa-check
name: Ordinary corporate profit baseline
inputs:
profit: 10000000
steps:
- rounded_profit: floor(profit / 1000) * 1000
- profit_tax: rounded_profit * 0.30
expected:
profit_tax: 3000000
```
**Decision: profit tax or turnover floor.** Assume established status with no article 26 exemption, taxable profit 3,000,000 and statutory reference turnover 100,000,000. Profit tax is 900,000, turnover minimum 1,000,000, fixed floor 500,000. The governing amount is 1,000,000. This is a baseline comparison, not a validated 2026 assessment.
```oa-check
name: Decision which corporate floor governs
inputs:
profit: 3000000
turnover: 100000000
steps:
- profit_tax: floor(profit / 1000) * 1000 * 0.30
- turnover_minimum: floor(turnover / 1000) * 1000 * 0.01
- liability: max(profit_tax, turnover_minimum, 500000)
expected:
profit_tax: 900000
turnover_minimum: 1000000
liability: 1000000
```
## Ask the client first
- Which accounting period, incorporation and first-activity dates apply?
- What sector, exemptions, approvals and prior business activity exist?
- What are reconciled profit, statutory turnover and loss vintages?
- What prior tax, instalments and withholding credits are evidenced?
- Which cross-border or related-party transactions and invoices exist?

Not yet confirmed: Full depreciation and financing limits, capital-gain reinvestment relief, incentive approvals and sector contracts; the exact scope of the article 26 first-paragraph relief and missing PME law conditions. Old nonresident withholding figures are routed to cross-border, not repeated here. Complete intervening amendments, date-specific commencement, current forms and boxes, and independent review.
