# Faroe Islands company registration and annual reporting v0.4

> **Checked against the law.** This Guide prepares working papers for review. It has no professional attestation and does not authorise a filing, incorporation or payment.

## Who this applies to

Prepare the formation, ownership, accounting-framework and filing calendar for an ordinary P/F or Sp/F. Keep company registration, TAKS registration and each tax obligation separate. P/F and Sp/F owners have the limited liability stated in Companies Act §1; that does not remove management duties or pre-registration liability. Sole traders, partnerships, ÍVF, foundations, regulated entities, foreign branches, reorganisations, licences and insolvency advice require their own rules. [Companies Act §§1–4, 41][company]

**Period first.** Annual Accounts Act 206 of 12 December 2025 takes effect on 1 January 2026 for **financial years beginning on or after that date**. It repeals Order 1355/2007 and preserves implementing rules until replaced or repealed. Accounts for a financial year beginning in 2025 do not become 2026-framework accounts merely because they are filed in 2026. Use the prior Act for that earlier period. The new law's actual title says **206**, although its official URL contains **203**. [2025 Act §203][accounts]; [prior Act][prior]

**Selected statutory-incorporation reading for an ordinary cash-funded Sp/F:** §33 expressly allows premium to be paid in the same proportion as the subscribed capital. Section 40(2) says all premium must be paid “sambært §33, stk. 1”. Read that express reference together with §33's specific Sp/F sentence: apply the same paid proportion to Sp/F cash premium, while P/F premium remains fully payable. The literal “all premium” sentence in §40 is visible; this worksheet selects the specific §33 incorporation reading, rather than claiming a separate Registrar ruling. With DKK 200,000 Sp/F subscribed capital and DKK 100,000 premium, the minimum 25% capital payment is DKK 50,000 and corresponding premium payment DKK 25,000, for **DKK 75,000** total. The alternative isolated full-premium reading would require DKK 150,000. At the DKK 50,000 minimum capital, all capital is paid, so a DKK 20,000 premium is also fully paid: total DKK 70,000. Any noncash contribution requires full capital and premium under §33; it does not use this cash-only fraction. Retain the subscription, actual paid proportion, per-share reconciliation and payment evidence. [Companies Act §§33, 40][company]

A threshold comparison is not an audit-election approval. Do not use current Danish or EU size thresholds in place of this Faroese Act. Under new §7, annualise net sales for a non-twelve-month period. Where financial/investment income is at least net sales, the specified combined income enters the size test. Class D and group cases have overrides. New-law §156(5)'s holding/influence wording requires confirmation before an ordinary standalone-company result is extended to a holding structure. First-year elections and the detailed current extended-review standard remain outside the confirmed procedure here. [Annual Accounts Act §§7, 156–158][accounts]

## The base

### Formation and registration

1. **Identify founders, name and governance.** One or more founders are permitted; test capacity and the statutory insolvency/guardianship restrictions. Use the correct P/F or Sp/F suffix and check the proposed name against §2. A P/F has a board/executive or supervisory/executive structure, with at least three on its board or supervisory body. An Sp/F can use executive management, subject to the employee-representation exception. Record the selected structure, office holders and authority. [Companies Act §§2, 24, 111][company]
2. **Execute documents.** All founders sign the formation document, including articles. Record founders, subscription price, subscription/payment deadlines, legal and accounting effective dates and any formation costs borne by the company. Articles state name, objects, capital/shares and rights, management, general-meeting notice and financial year. Add §27's special-benefit, asset-contribution and audit-election provisions where applicable. [Companies Act §§25–29][company]
3. **Evidence capital.** Apply the table below to subscribed capital, cash actually paid and premium separately. Noncash assets must have economic value; promised work/services and claims against founders/shareholders do not qualify. Obtain an independent valuation report, ordinarily dated no more than four weeks before signature, unless a verified §38 exception and management report apply. [Companies Act §§31–38][company]
4. **Register on time.** Incorporation must be registered or notified to Skráseting Føroya within two weeks after signature; late formation cannot simply be registered under that document. Evidence the capital payment by registration/notification. Where management/auditor was not elected at formation, §39 requires the relevant meeting within two weeks. Register office holders and any auditor; retain authority and valid evidence for the filer. [Companies Act §§9–10, 15, 39–40][company]
5. **Open the correct operational records.** Prepare the shareholder register and ownership notifications. The Registrar formation page supplies the current notification and owner forms; it says the owner notification accompanies the formation papers. An unregistered company uses the statutory “under formation” designation; persons making or sharing responsibility for pre-registration commitments have the joint liability in §41. A future legal effective date has separate restrictions. [Companies Act §§41, 50–58b][company]; [Registrar forms page][forms]
6. **Complete TAKS onboarding.** TAKS's published starting-business procedure asks for the Vinnuskráin form at least eight days before activity, plus the articles, formation document and shareholder register for a limited company. Registrar notification to TAKS does not prove that the tax/business-register file is complete. Retain the V-tal and tax-registration decisions. A V-tal alone does not prove MVG registration. Owners' company salary follows A-income settlement; use the payroll Guide. [TAKS, Registering a company and Taxation][start]

### Ownership and recurring management duties

Maintain the shareholder register promptly after formation, with identity, holdings, acquisition/disposal/pledge dates and voting rights. Foreign holders require unambiguous identity evidence. Shareholder/pledgee notification of an ownership or pledge change reaches the company within two weeks. Significant legal owners notify the company within two weeks after crossing a §55 boundary. At formation, register significant owners, or the absence of such owners, with the Registrar at the latest simultaneously with formation; later threshold changes are notified as soon as possible. These records are distinct from beneficial-owner registration. [Companies Act §§50–58][company]

Identify the natural persons who ultimately own or control, directly, indirectly or by other means, under §5(30). **At formation, collect and register the beneficial-owner information and rights no later than simultaneously with company registration under §58b.** This initial deadline is separate from the later-awareness/update rule. Do not automatically reuse the 5% legal-owner threshold or import an unverified fixed beneficial-owner percentage. Obtain the control chain and rights; §58a requires prompt registration after awareness and prompt updates. If all identification possibilities have been exhausted and there is no identifiable beneficial owner, register the prescribed daily management, with the failed-identification evidence. Review beneficial-owner information **at least annually**, presenting the result at the management meeting approving the annual report. Preserve beneficial-owner evidence for five years after that ownership ends, and identification-attempt evidence for five years after the attempts. [Companies Act §§5(30), 58a–58b][company]

If equity is established to be below half subscribed capital, management must hold a general meeting within six months of that finding, explain the position and propose necessary measures. This capital-loss duty is separate from whether cash remains or an annual filing is due. Keep the finding date and action record. [Companies Act §119][company]

### Accounts and audit

For the new-law period, document class under §7 before choosing the report. Class B's ordinary minimum includes management statement (subject to the one-person exception), balance sheet, profit and loss, notes and management report; include any required audit/assurance report. Class C adds equity and cash-flow statements. Use a consistent framework and accounting policies, accrual recognition and the statutory true-and-fair requirement. This checklist does not supply every recognition/disclosure rule. [Annual Accounts Act §§9–16, 25, 80][accounts]

B/C/D ordinarily require an approved auditor's audit. Test each lawful opt-out or extended-review alternative, the two years and any mandatory override. The new law has the separate DKK 50m assets override, foundation and holding/influence provisions, and disqualifications for specified offences, bankruptcy bans and Registrar findings. A size pass alone is insufficient. Check the formation/annual-meeting resolution, articles, management declarations and registered auditor status. Only an auditor approved under Faroese law can give the assurance prescribed by §158; this Guide makes no licence-equivalence claim. [Companies Act §§27, 88][company]; [Annual Accounts Act §§10–11, 156–158][accounts]

## Deadlines and filing

| Event / filing | Calendar rule | Official source |
|---|---|---|
| Registrable company-law change | Ordinarily within two weeks of the legally effective decision; special provisions govern particular events | [Companies Act §9, §§21–23 time computation](https://logir.fo/Logtingslog/73-fra-31-05-2011-fra-parta-og-smapartafelog) |
| Annual general meeting | Early enough for approved accounts to reach Registrar within the accounts deadline | [Companies Act §88](https://logir.fo/Logtingslog/73-fra-31-05-2011-fra-parta-og-smapartafelog) |
| Registrar annual accounts, class B/C | Without undue delay after approval, received within six months after financial-year end | New [§162](https://www.logir.fo/Logtingslog/203-fra-12-12-2025-um-arsroknskap-Arsroknskaparlogin), prior [§138](https://www.logir.fo/Anordning/1355-fra-09-12-2007-om-ikrafttraeden-for-Faeroerne-af-arsregnskabsloven-sum-seinast-broytt-vid-logtingslog) |
| Registrar annual accounts, class D | Four months after financial-year end | New [§162](https://www.logir.fo/Logtingslog/203-fra-12-12-2025-um-arsroknskap-Arsroknskaparlogin), prior [§138](https://www.logir.fo/Anordning/1355-fra-09-12-2007-om-ikrafttraeden-for-Faeroerne-af-arsregnskabsloven-sum-seinast-broytt-vid-logtingslog) |
| Company income-tax return | 1 July following the income year for the specified entities; distinct from Registrar filing | [Tax Act §100(3)](https://www.logir.fo/Logtingslogarkunngerd/109-fra-19-09-2023-um-landsskatt-og-kommunuskatt) |
| New-law first financial period | At most eighteen months; ordinary periods twelve months | [Annual Accounts Act §18](https://www.logir.fo/Logtingslog/203-fra-12-12-2025-um-arsroknskap-Arsroknskaparlogin) |
| New-law financial-year change notification | Six months from the old year-end and no later than six months from transition-period end; class-D category uses four months | [Annual Accounts Act §18(5)](https://www.logir.fo/Logtingslog/203-fra-12-12-2025-um-arsroknskap-Arsroknskaparlogin) |

Example: an ordinary calendar-year B/C company has its **2025** report due to the Registrar on **30 June 2026**, under the prior §138 framework; its company return has the separate **1 July 2026** date. A calendar-year **2026** report is governed by the new Act and ordinarily reaches the Registrar by **30 June 2027**, with the company-return deadline **1 July 2027**. The latter figures illustrate the law for a 2026 period, not a fresh assurance of future amendments. Keep receipt evidence for each submission. New-law §180 supplies time computation and non-working-day adjustments. [Prior §138][prior]; [new §§162, 180, 203][accounts]; [Tax Act §100][tax]

## Penalties and interest

Late Registrar accounts are not cured by submitting the tax return. New-law §177 provides a demand with at least eight working days to comply and a separate four-week point after which the Registrar can seek dissolution or use the applicable removal route. If accounts arrive after the demand's compliance period, §178 permits a charge for **each** relevant manager/branch manager: DKK 500 for the first commenced month, **cumulative** DKK 2,000 for the second, DKK 3,000 for the third, capped at DKK 3,000 each, calculated from the original filing deadline. The amounts are not DKK 500 + DKK 2,000 + DKK 3,000. Section 179 addresses exceptional relief; blaming staff/advisers does not by itself relieve the manager. Prior §§150–151 provide the corresponding earlier-period demand/charge route. [Annual Accounts Act §§177–179][accounts]; [prior Act §§150–151][prior]

Compulsory-dissolution restoration is conditional, not an automatic late fee. Companies Act §§231–232 require correction, management/auditor and capital evidence and the prescribed resolutions/notifications. The Registrar must receive the restoration notification within three months after asking the court for compulsory dissolution, subject to the restructuring suspension; prior compulsory dissolution within five years and a final dissolution decision prevent the ordinary restoration route. Obtain insolvency advice for an actual case. [Companies Act §§231–232][company]

Bookkeeping must preserve both original and corrected entries, link transactions to documents and accounts and reconcile balances. Retain accounting material safely for **five years from financial-year end**, accessible and reproducible. Electronic foreign storage has the conditions in §14, including access in the Faroes and local system/password descriptions; paper has distinct location exceptions. Management departure or business closure does not end retention. Statutory five-year retention is not an instruction to destroy records with another continuing purpose. [Bookkeeping Act §§6–17][books]

Deliver the signed-formation/document index, paid/subscribed-capital reconciliation, shareholder and beneficial-owner schedules, framework/audit decision paper, separate filing calendar and receipt log. Check:

- Every threshold uses the correct financial-year start and current law for that period.
- Capital payment, premium and noncash evidence reconcile; no incorporation fee is invented.
- Legal-owner and beneficial-owner records use their own tests, dates and retention clocks.
- Two-year size tests, elections, group/holding overrides and disqualifications have evidence.
- Accounts approval and Registrar/tax receipts are distinct; event deadlines are not replaced by the annual cycle.
- Retention and unresolved questions are handed to the reviewer.

## Cross-border points

The ordinary formation checklist does not establish a foreign branch's
registration, a foreign entity's licence eligibility or a cross-border
reorganisation method. The scope and source reservations above remain in
place. Do not substitute Danish or EU incorporation and audit rules for the
Faroese provisions. [Companies Act §§1–4][company]

## Two worked examples that recompute

### 1. Cash Sp/F versus cash P/F funding

Assume the ordinary cash-only facts and selected statutory reading stated
above. An Sp/F with DKK 200,000 subscribed capital and DKK 100,000 premium
pays DKK 50,000 capital and DKK 25,000 premium, total DKK 75,000. The 25%
capital fraction equals the absolute minimum. For a P/F, use its separate
minimum subscribed capital: with DKK 500,000 capital and the same fictional
DKK 100,000 premium, capital payment is DKK 125,000 and the entire premium
is paid, total DKK 225,000. The DKK 150,000 funding difference is one
consequence of the legal-form decision, not a conclusion that an Sp/F is
always preferable. Both figures exclude fees and other formation costs;
noncash contributions use full payment and do not use these fractions.
The Sp/F calculation retains the express §40/§33 wording issue and selected
specific incorporation reading above. [Companies Act §§4, 33, 40][company]

```oa-check
name: Faroese cash SpF versus PF capital and premium funding
inputs:
  spf_capital: 200000
  pf_capital: 500000
  premium: 100000
  fraction: 0.25
  absolute_minimum: 50000
steps:
  spf_capital_paid: max(spf_capital * fraction, absolute_minimum)
  spf_premium_paid: premium * spf_capital_paid / spf_capital
  spf_total: spf_capital_paid + spf_premium_paid
  pf_capital_paid: max(pf_capital * fraction, absolute_minimum)
  pf_total: pf_capital_paid + premium
  funding_difference: pf_total - spf_total
expected:
  spf_capital_paid: 50000
  spf_premium_paid: 25000
  spf_total: 75000
  pf_capital_paid: 125000
  pf_total: 225000
  funding_difference: 150000
```

### 2. Cumulative late-accounts charge per manager

Assume a new-law period, the demand's compliance period has expired,
the Registrar imposes §178 charges, exactly three responsible managers,
no relief or overlapping coercive-fine reduction, and the second commenced
month measured from the original filing deadline. The cumulative charge
is DKK 2,000 each, total DKK 6,000, rather than DKK 500 plus DKK 2,000 each.
At the third commenced month the cumulative figure becomes DKK 3,000 each,
total DKK 9,000. The three-month cap prevents adding another DKK 3,000
merely because a fourth month begins. This is a conditional charge
calculation, not an automatic dissolution or filing-extension entitlement.
[Annual Accounts Act §§177–179][accounts]

```oa-check
name: Faroese late accounts cumulative manager charges
inputs:
  managers: 3
  second_month_total_per_manager: 2000
  third_month_total_per_manager: 3000
steps:
  second_month_total: managers * second_month_total_per_manager
  third_month_total: managers * third_month_total_per_manager
  incremental_third_month: third_month_total - second_month_total
expected:
  second_month_total: 6000
  third_month_total: 9000
  incremental_third_month: 3000
```

## Ask the client first

- What legal form, cash or noncash contribution, subscribed capital, premium
  and per-share paid amounts are actually proposed or documented?
- What are the formation signature and effective dates, and who has signed,
  taken pre-registration obligations or been appointed to management/audit?
- Who are the legal owners and ultimate controllers, what rights or recent
  changes exist, and what identification evidence has been obtained?
- When does the financial year start/end, what are both years' size figures,
  and do group, holding, foundation or disqualification conditions apply?
- What audit election, Registrar/TAKS registrations, filing receipts and
  actual late-filing demands or court referrals exist?
- What accounting records and storage arrangements exist, and can they be
  accessed and reproduced in the Faroes throughout their retention period?
