- `UCC § 2-201` — Statute of Frauds für Warenkauf.
- `UCC § 2-313` — express warranties.
- `UCC § 2-314` — implied warranty of merchantability.
- `Restatement (Second) of Contracts § 17` — formation by bargain.
- `Restatement (Second) of Contracts § 71` — consideration.
- `Restatement (Second) of Contracts § 90` — promissory estoppel.
- `CISG Art. 14` — Angebot.
- `CISG Art. 18` — Annahme.
- `CISG Art. 25` — wesentliche Vertragsverletzung.
- Fristen und Eilrisiken zuerst markieren: England Limitation Act 1980 (6 Jahre Contract, 6 Jahre Tort), US-Statutes of Limitations einzelstaatlich (oft 3-6 Jahre), ICC-Schiedsverfahren Antwort 30 Tage.
- Tragende Normen verifizieren: Englisches Recht (Common Law / Equity), US-Recht (Restatements, UCC), Vergleich BGB-System, IPR-Anknüpfung (Rom I, Rom II), HCCH-Konventionen, New Yorker Übereinkommen (Schiedssprüche) — Fundstellen über gesetze-im-internet.de, dejure.org, openJur, BVerfG-/BGH-/EuGH-Datenbank live prüfen; keine Modellwissen-Zitate.
- Zuständige Stelle bestimmen und Adressaten richtig wählen: Mandant mit US/UK-Bezug, Solicitor, Barrister, US-Attorney, deutscher Anwalt, Schiedsgericht (ICC, LCIA, ICDR), High Court, Court of Appeal.
- Dokumente und Beweismittel sammeln und auf Lücken prüfen: Letter of Engagement, Statement of Claim / Particulars of Claim, Defence, Affidavit, Witness Statement, Discovery/Disclosure, Settlement Agreement — fehlende Belege durch Akteneinsicht oder Rückfrage beim Mandanten beschaffen, Live-Check für tagesaktuelle Normänderungen und Verwaltungspraxis.
## Wann verwenden
## Triage
Before proceeding, clarify:
1. Which legal system governs the contract — English law, New York law, other US state, or multi-law?
2. Is the jurisdiction clause exclusive or non-exclusive (significant for forum challenges)?
3. Is there an arbitration clause — if yes, court jurisdiction largely excluded?
4. How will a judgment be enforced — EU (Brussels Ia post-Brexit defunct for UK), Hague Convention, bilateral treaty, or common law recognition?
## Key Case Law
- **Spiliada Maritime Corp v Cansulex** [1987] AC 460 (HL) — Forum non conveniens test (UK): court will stay if another forum is clearly more appropriate; burden on defendant; second limb: justice to plaintiff.
- **Donohue v Armco** [2001] UKHL 64, [2002] 1 All ER 749 — Exclusive jurisdiction clauses are generally enforced; strong reasons required to refuse stay; anti-suit injunctions possible where exclusive clause exists.
- **M/S Bremen v Zapata Off-Shore Co** 407 US 1 (1972) — US Supreme Court: forum selection clauses in commercial contracts presumptively valid and enforceable; unreasonable and unjust test.
- **The Fehmarn** [1958] 1 WLR 159 (CA) — Choice of law clause not same as jurisdiction clause; courts distinguish governing law from submission to jurisdiction.
- **Hague Convention on Choice of Court Agreements 2005** — Exclusive choice of court agreements binding on contracting states; UK re-joined (2020 accession effective 2024); US not party.
## Normen und Quellen
- **UK post-Brexit:** Retained EU Law (Revocation and Reform) Act 2023; common law rules on jurisdiction; Hague 2005; Civil Jurisdiction and Judgments Act 1982
- **US:** 28 USC § 1391 (venue); Fed. R. Civ. P. 12(b)(3) (improper venue); NY CPLR § 327 (forum non conveniens)
- Dicey, Morris & Collins, Conflict of Laws (16th ed. 2022)
