- `UCC § 2-201` — Statute of Frauds für Warenkauf.
- `UCC § 2-313` — express warranties.
- `UCC § 2-314` — implied warranty of merchantability.
- `Restatement (Second) of Contracts § 17` — formation by bargain.
- `Restatement (Second) of Contracts § 71` — consideration.
- `Restatement (Second) of Contracts § 90` — promissory estoppel.
- `CISG Art. 14` — Angebot.
- `CISG Art. 18` — Annahme.
- `CISG Art. 25` — wesentliche Vertragsverletzung.
- Fristen und Eilrisiken zuerst markieren: England Limitation Act 1980 (6 Jahre Contract, 6 Jahre Tort), US-Statutes of Limitations einzelstaatlich (oft 3-6 Jahre), ICC-Schiedsverfahren Antwort 30 Tage.
- Tragende Normen verifizieren: Englisches Recht (Common Law / Equity), US-Recht (Restatements, UCC), Vergleich BGB-System, IPR-Anknüpfung (Rom I, Rom II), HCCH-Konventionen, New Yorker Übereinkommen (Schiedssprüche) — Fundstellen über gesetze-im-internet.de, dejure.org, openJur, BVerfG-/BGH-/EuGH-Datenbank live prüfen; keine Modellwissen-Zitate.
- Zuständige Stelle bestimmen und Adressaten richtig wählen: Mandant mit US/UK-Bezug, Solicitor, Barrister, US-Attorney, deutscher Anwalt, Schiedsgericht (ICC, LCIA, ICDR), High Court, Court of Appeal.
- Dokumente und Beweismittel sammeln und auf Lücken prüfen: Letter of Engagement, Statement of Claim / Particulars of Claim, Defence, Affidavit, Witness Statement, Discovery/Disclosure, Settlement Agreement — fehlende Belege durch Akteneinsicht oder Rückfrage beim Mandanten beschaffen, Live-Check für tagesaktuelle Normänderungen und Verwaltungspraxis.
## Wann verwenden
## Triage
Before proceeding, clarify:
1. Which jurisdiction — England/Wales, New York, Delaware, other US state, or multi-jurisdictional?
2. Is this a simple contract, deed, or a contract under UCC (goods)?
3. Is there a consideration issue — adequacy vs. sufficiency; past consideration?
4. Promissory estoppel raised — US or UK variant?
## Key Case Law
- **Currie v Misa** [1875] LR 10 Ex 153 — Classic definition of consideration (UK): a valuable consideration may consist of a right, interest, profit, or benefit; or forbearance, detriment, loss or responsibility.
- **Williams v Roffey Brothers** [1991] 1 QB 1 (CA) — Practical benefit as fresh consideration for renegotiated price; avoids strict Stilk v Myrick rule in subcontractor context.
- **Carlill v Carbolic Smoke Ball Co** [1893] 1 QB 256 (CA) — Offer to public; unilateral contract; acceptance by performance; consideration satisfied by inconvenience of use.
- **Foakes v Beer** [1884] 9 AC 605 (HL) — Part-payment of debt not good consideration for release of balance; no practical benefit in pure debt context (distinguishable from Williams v Roffey).
- **UCC § 2-204** (US) — Contract for sale of goods may be formed in any manner showing agreement including conduct; no need for mirror-image acceptance.
## Normen und Quellen
- **UK:** Contracts (Rights of Third Parties) Act 1999; Misrepresentation Act 1967; Sale of Goods Act 1979; Consumer Rights Act 2015
- **US:** UCC Article 2 (goods); Restatement (Second) of Contracts (services); common law (Restatement)

- Treitel, Law of Contract (14th ed. 2015)
