# Skill: Draft Certificate of Incorporation
## 1. Subject-matter triage
- Determine the governing jurisdiction, entity type, and whether the task is a clean restatement or a restatement plus amendments to an existing charter.
- Identify every source document that can affect charter terms, including term sheet, investor rights materials, side letters, board and stockholder approvals, capitalization schedules, and any draft exhibits.
- Treat the amended and restated certificate as the primary deliverable and the memorandum as secondary; the charter must be drafted first and must stand on its own as operative text.
- If the source set spans multiple preferred series, option grants, warrants, conversion features, or governance overlays, enumerate each affected instrument or class before drafting so no term is silently generalized.
## 2. Failure modes the skill is correcting
- Exculpation language tracks only older director-only standards and does not address current officer exculpation where available.
- Authorized share count is set without calculating the aggregate reservation requirement across all conversion, option pool, and warrant obligations.

## 3. Legal frameworks / domain conventions that apply
- Authorized share sufficiency: total authorized common should exceed the sum of shares issued to founders and employees, shares issuable upon conversion of all preferred series, shares reserved for the option pool, and shares issuable upon exercise of outstanding warrants; if the calculation shows insufficient authorized shares, the certificate should authorize more before it can be used.
- Anti-dilution and class uniformity: apply the governing corporate statute’s requirements on uniform rights within a class when drafting anti-dilution mechanics; if drafting a full-ratchet feature, confirm it is confined to the intended series and does not create cross-series rights conflicts.
- Mandatory redemption and legally available funds: a mandatory redemption provision requiring repurchase at a fixed date is commonly limited by the availability of legally available funds or equivalent surplus concepts; if the company lacks the necessary funds at the redemption date, the obligation should be drafted to defer as required by law.
- Officer exculpation: update exculpation language to reflect current standards that may permit exculpation of officers as well as directors, subject to the governing statute and customary carve-outs.
- Side-letter governance provisions: any governance provisions in a side letter that are intended to have the force of the certificate must be incorporated into the certificate or the certificate should expressly acknowledge and implement them.
- Governing authority should be cited by name and section in the drafting memorandum for each legal proposition that drives a drafting choice, using the applicable corporation statute, charter provisions, and any controlling organizational documents identified in the source set.
## 4. Analytical scaffolds
- Start from the operative capital table and work forward: issued shares, reserved shares, conversion coverage, warrants, and any proposed pool increase or recapitalization.

- For every issue flagged in the memorandum, state the affected provision, the nature of the conflict, the drafting impact, and the practical consequence of leaving it unresolved.
## 5. Vertical / structural / temporal relationships
- Track hierarchy from statute to charter to ancillary agreements to board and stockholder approvals; do not let a lower-level document override a statutory limitation or an inconsistent charter term.
- Track class and series relationships vertically: common stock, preferred stock, and any series within preferred must be internally consistent on conversion, voting, and protective provisions.
- Track time-sensitive sequencing: authorize the charter text, confirm approvals, and then align closing mechanics, filings, and any effectiveness date assumptions.
- If the source materials contemplate multiple financing rounds or contingent issuances, draft the charter so the capitalization and conversion mechanics remain coherent across future issuances unless the documents require a one-time structure.
- If terms depend on future valuations, future financings, or future recapitalizations, preserve the contingent structure in the charter and note the open assumptions in the memorandum.
## 6. Output structure conventions
- Produce a complete amended and restated certificate of incorporation in standard Delaware-style charter form unless the governing jurisdiction requires otherwise.
- Include only operative charter text in the certificate; do not bury unresolved issues inside prefatory narrative.
- Include a drafting note or schedule showing the authorized share analysis in a compact, workmanlike form without turning it into a full financial model.
- Prepare the memorandum as a companion advisory document that identifies source conflicts, the adopted drafting resolution, controlling authority, and open items requiring client or deal-team decision.
- Use clear section headings that mirror conventional charter architecture: name, office, purpose, capital stock, preferred series terms, exculpation, indemnification, amendments, and miscellaneous provisions as applicable.
- Where the source set is incomplete, say so expressly in the memorandum and identify the exact drafting assumption used in the certificate.
- Keep the memorandum directive: identify the issue, the authority or source basis, the recommended drafting response, and the remaining decision point.
- Before finalizing, confirm that the certificate file contains operative charter language and that the memorandum file contains the conflict analysis and open-issue list, not merely a summary of what still needs to be done.
